Brazilian steelmaker Gerdau SA was sued by two shareholders who claim the company misled investors by failing to disclose its role in a bribery and tax-fraud scheme.

The shareholders seek to represent all investors who bought Gerdau’s American depositary receipts from June 2, 2011 and May 15.
