In early 2005, eight retired stockholders wrote a letter to a chief executive officer complaining that the company's stock price was lagging behind that of its peers. He was wrecking the company, they said, and it was time for him to go.

This was no ordinary group of investors. The writers were members of Morgan Stanley's advisory board -- former partners and top executives who held 11 million shares.
