Quest Diagnostics to Acquire Unilab

Quest Diagnostics (DGX ) agrees to acquire clinical laboratory company Unilab Corp. (ULAB ) for $900 million, plus about $200 million of Unilab debt. Quest will pay Unilab stockholders $26.50 per share in cash, 0.3256 shares of Quest, or a combination of cash and stock for each Unilab share. (4/2)
Royal Dutch/Shell Group (SC ) unit Shell Resources agrees to buy Britain's Enterprise Oil PLC (ETP ) for about $4.98 billion, and will assume more than $1 billion in Enterprise debt. Shell Resources is paying 725 pence per share for Enterprise. (4/2)
