Journey Group notes the announcement by Jaguar Holdings Limited (Jaguar) that by virtue of its shareholdings and acceptances of the Recommended Mandatory Offer it has acquired, or agreed to acquire, Journey Shares representing at least 75% of the voting rights of Journey. Accordingly, Jaguar has announced that it intends to procure that Journey applies to the London Stock Exchange for the cancellation of the admission of Journey Shares to trading on AIM. Journey will shortly make an application for the cancellation of the trading in its shares and it is anticipated that the earliest date that the cancellation will take place is 16 December 2016, being 20 Business Days from the date of this announcement. Jaguar Holdings Intends To Seek The Cancellation Of The Admission Of Journey Group plc Shares To Trading On AIM

The board of directors of Jaguar Holdings Limited ("Jaguar Holdings") and the Independent Directors of Journey Group plc ("Journey" or the "Company") announced that they have reached agreement on the terms of a recommended cash offer (the "Offer") pursuant to which Jaguar Holdings Limited will acquire the entire issued and to be issued share capital of Journey Group plc. Following the Offer becoming, or being declared, unconditional in all respects and if Jaguar Holdings has by virtue of its shareholdings and acceptances of the Offer acquired, or agreed to acquire, Journey Shares representing at least 75% of the voting rights of Journey, Jaguar Holdings intends to procure that Journey makes an application to the appropriate authorities for the cancellation of the admission of Journey Shares to trading on AIM. Should Jaguar Holdings proceed with the intended cancellation a notice period of not less than 20 Business Days will be given on or after the date on which the Offer becomes, or is declared, unconditional in all respects. Should Jaguar Holdings not receive acceptances to the Offer of equal to, or greater than, 75% of the voting rights of Journey, then Jaguar Holdings intends to seek the cancellation of the admission of Journey Shares to trading on AIM under the provisions set out in Rule 41 of the AIM Rules. Delisting would significantly reduce the liquidity and marketability of any Journey Shares not assented to the Offer. It is also proposed that following the Offer becoming or being declared unconditional in all respects and admission to trading on AIM of Journey Shares having been cancelled, Journey will be re-registered as a private company under the relevant provisions of the Companies Act 2006.
