Kansas Regulator Clears Liberty Utilities Co. to Buy Empire District Electric Company

The Kansas Corp. Commission has approved settlement agreement related to The Empire District Electric Company's pending acquisition by a Liberty Utilities Co. The Commission approved a unanimous settlement agreement among Empire, Liberty Sub Corp., and Liberty Utilities (Central) Co., the KCC Staff and the Citizens' Utility Ratepayer Board. On 9 February Liberty Utilities Co. entered into an agreement and plan of merger under which Liberty Utilities will indirectly acquire The Empire District Electric Company and its subsidiaries. The commission's order provides authorization to consummate the merger between Empire and Liberty Sub Corp. in accordance with the terms and conditions of the agreement and plan of merger dated as of February 9, 2016. Receipt of the commission's order completes the final required regulatory approval and accordingly, all conditions precedent to completing the merger have been fulfilled other than the customary closing conditions. The transaction closing is expected to occur on or about 1 January 2017.
One Gas Unit Enters into Settlement Agreement for $8.1 Million Base Rate Increase

ONE Gas Inc. unit Kansas Gas Service Co. entered into a settlement agreement for a net increase of $8.1 million in its base rates. Kansas Gas Service took on the agreement with the staff of the Kansas Corporation Commission. The Kansas Corporation Commission is assigned to rule on the settlement on or before Dec. 28, and if approved, would raise the average residential customer's natural gas bill by $1.25 per month. In addition to the settlement agreement, the company is also recovering $7.4 million from customers through the gas system reliability surcharge.
Empire District Electric Company Files Unanimous Settlement Agreement in Kansas

The Empire District Electric Company announced a filing with the Kansas Corporation Commission (KCC) of a unanimous settlement agreement with respect to the joint application for approval of an agreement and plan of merger filed on March 16, 2016. The unanimous settlement agreement is subject to approval by the KCC. As a condition of the Unanimous settlement agreement that was reached with the staff of the KCC, Empire's pending rate case is to be withdrawn and current base rates are to remain in effect through January 1, 2019. The agreement also provides that Empire may file a request to update the current environmental recovery rider to include costs associated with the Riverton 12 Combined Cycle Project, which are expected to be approximately $1.2 million. Regulatory approvals for the transaction have been secured at the Federal level as well as in Missouri, Oklahoma, and Arkansas. A decision from Kansas regulators is due no later than January 10, 2017, with an expected transaction close early in 2017.
