Marcia Wagner, the Managing Director of The Wagner Law Group announced that well-known executive compensation attorney, Mark Poerio, has joined the firm as a partner, effective as of February 1, 2018. Mr. Poerio, who will be based out of the firm’s Washington, D.C. office, has over 30 years of experience focused on equity compensation plans, performance-based incentives, employment agreements, golden parachute, mergers and acquisitions, change in control, and severance matters (both individualized and broad-based). His clients cover a broad spectrum, including major public companies, companies owned by private equity, closely-held corporations and tax exempt organizations. Mr. Poerio is the current President of the esteemed American College of Employee Benefit Counsel, and serves as an executive board member of the American Benefits Council. For 20 years, Mr. Poerio has served as pro bono counsel to the Maryland Association of Social Service Boards – creating a grass roots foundation that has raised over $1 million to support programs protecting children and vulnerable adults.

Ms. Maloney-Knauff is a seasoned corporate attorney with over 25 years of experience advising pension plans, insurance companies and investment managers, specializing in ERISA plan investing, derivatives, and asset management. Prior to joiningThe Wagner Law Group, Ms. Maloney-Knauff served as Allstate Insurance Company’s Investment and Business Transactions Corporate Counsel for nearly two decades. Ms. Maloney-Knauff has acted as counsel to investment committees for defined benefit and defined contribution pension plans, including analysis and drafting of investment policies and guidelines, and advising the committees on governance structure.
