listing standards. They include:

-- Annual evaluations of the board's nominating, compensation, and audit committees

-- Shareholder votes on all stock option plans

-- A lead director or nonexecutive chair to preside over independent board member sessions

-- Regularly scheduled board meetings of independent directors

-- Prompt disclosure of waivers of ethics and business codes for executives and directors

-- An audit committee chairman with expertise in accounting or financial management
