Anthem to Acquire Trigon Healthcare

AES sells Cilcorp unit to Ameren, and more merger news

Trigon Healthcare (TGH ) agrees to be acquired by Anthem (ATH ) in a deal valued at roughly $4 billion. Terms: $30 cash and 1.062 ATH shares per TGH share. (4/29)

HNC Software (HNCS ) agrees to be acquired by Fair Isaac (FIC ) for about $810 million. Terms: 0.346 newly-issued FIC share per HNCS share. (4/29)

AES Corp. (AES ) agrees to sell its Illinois-based utility holding company, Cilcorp Inc., to Ameren Corp. (AEE ) in a deal valued at $1.4 billion, including assumption of debt. (4/29)

Prime Group Realty Trust (PGE ) announces an unsolicited proposal from American Realty Investors (ARL ) to acquire all PGE shares for $7.50 cash, plus 1/5 of ARL preferred stock per common share. PGE says it will evaluate the offer. (4/29)

Maynard Oil (MOIL ) agrees to be acquired by Plantation Petroleum Holdings for $17 cash per share, or about $83.3 million. (4/26)

Franklin Electric (FELE ) agrees to acquire Intelligent Controls (ITC ) for about $18 million, or $3.95 a share. (4/26)

Tyco International (TYC ) cancels plans to split the company into four separate parts and instead will monetize CIT Group through an initial public offering. Tyco also guided fiscal 2002 earnings lower. (4/25)

Network Associates (NET ) withdraws its bid for (MCAF ). Network Associates, which is being investigated by the SEC for its accounting practices, said it discovered "accounting irregularities" in its 1999 and 2000 financial statements that will require a restatement of those results. (4/25)

Simplex Solutions (SPLX ) agrees to be acquired by Cadence Design Systems (CDN ) for $18 per share, or about $300 million. (4/25)
