DB Alex Brown downgraded Bristol-Myers (BMY ) to buy from strong buy on valuation concerns.

Conseco (CNC ) offered to exchange up to $2.54B of its outstanding senior notes for new notes in a move to extend the maturity date of its debt. Moody's and Fitch placed Conseco's debt under review for a possible downgrade.

UBS Warburg initiated coverage of Global Imaging (GISX ) with buy.

A.C.L.N. Ltd. (ASW ) was delayed after the SEC reportedly suspended trading on NYSE until April 1 due to concerns over the accuracy of public information about the company.

Safenet (SFNT ) will hold a conference call to update 2002 guidance after Monday's close. Pacific Growth believes the news is positive.

Bear Stearns upgraded Cerner Corp. (CERN ) to buy from attractive.

SG Cowen reportedly upgraded Affiliated Computer (ACS ) to strong buy from buy. Needham resumed coverage of Helix Technology (HELX ) with strong buy.

CIBC World reiterates buy on CryoLife (CRY ). On Friday the company responded to an announcement by the Center for Disease Control by saying there are no epidemic of infections from tissue processed from its tissue banks.

Arch Coal (ACI ) reduced the rates of coal production by 7% in recent weeks, and cut the 2002 capital expenditures budget to an expected $150M. Arch Coal also sees a $0.05-$0.15 Q1 loss, with Q2 likely to be affected as well.

Earthlink (ELNK ) has been moving aggressively into the broadband market, and a recent deal with AT&T Broadband holds the potential to dramatically expand Earthlink's reach, according to press reports.

A jury finds that Waters Corp.'s (WAT ) Quattro Ultima series of mass spectrometers infringe on a patent owned by MDS Inc., exclusively licensed to Applera Corp. and PKI. The jury determined the damages in the amount of $47.5 million.

Johnson & Johnson (JNJ ) says results from three separate clinical studies document continued excellent performance of investigational Cypher Sirolimus-eluting Stent in patients with coronary artery disease.

Network Associates (NET ) offered to acquire all outstanding publicly held shares of (MCAF ) it does not already own. Terms: 0.675 Network share for each McAfee share. Network currently owns about 75% of McAfee.

Audiovox (VOXX ) revised fiscal 2001 (Nov.) results to a $0.16 Q4 loss. The company recorded an additional net charge of $1.2M relating to its wireless inventory.

Boston Scientific (BSX ) filed an application with the FDA for pre-market approval of its Express coronary stent system, its Express2 coronary stent system -- rapid exchange and over-the-wire versions.

Robertson Stephens raised estimates and reiterates buy on Micron Technology (MU ).

Progenics Pharmaceutical (PGNX ) says its novel investigational drug, PRO 542, produced a significant antiviral response in HIV-infected individuals who were no longer responding to currently available antiretroviral medications.

Abbott Labs (ABT ) will acquire the cardiovascular stent business of Biocompatibles for $234.5M cash.
