Baxter to Acquire Fusion Medical

Private-investment firm W.L. Ross & Co. says it will acquire the bankrupt steelmaker LTV Corp., plus other merger news

Baxter International Inc. (BAX ) agrees to acquire Fusion Medical Technologies (FSON ) for $10 per share, or $157 million in BAX stock. Fusion develops products used to control bleeding during surgery. (2/27)

Banknorth Group (BKNG ) agrees to acquire Ipswich Bancshares (IPSW ) for $41.1 million in cash and stock. Terms: $20.50 per share in either cash or BKNG stock. (2/27)

Mirant (MIR ) agrees to sell Mirant State Line Ventures Inc., which includes a 515-megawatt coal-fired generation facility in Indiana, to energy producer Dominion (D ) for $182 million. (2/27)

Private-investment firm W.L. Ross & Co. agreed to acquire the bankrupt steelmaker LTV Corp. for $125 million in cash for the steel assets, and also assume around $200 million in environmental and other liabilities. (2/27)

Key Production Company (KP ) agrees to be acquired by Cimarex Energy Co., which will be a new publicly-traded company formed by a spin-off of Helmerich & Payne's (HP ) oil & gas division. KP holders will get 1 Cimarex share per KP share. (2/25)
