U.S. Physical Therapy, Inc., through its subsidiaries, operates outpatient physical therapy clinics that provide pre-and post-operative care and treatment for orthopedic-related disorders, sports-related injuries, preventative care, rehabilitation of injured workers and neurological-related injuries. The company primarily operates through subsidiary clinic partnerships in which the company generally owns a 1% general partnership interest and a 64% limited partnership interest and the managing therapist(s) of the clinics owns the remaining limited partnership interest in the majority of the clinics (referred to as ‘Clinic Partnerships’). The company operates some clinics through wholly-owned subsidiaries under profit sharing arrangements with therapists. As of December 31, 2014, the company operated 489 clinics in 42 states. There were 384 clinics operated under Clinic Partnerships and 105 were operated as Wholly-Owned Facilities. The company’s clinics are located in the following states: Tennessee, Texas, Michigan, Maryland, Georgia, Washington, Virginia, Pennsylvania, Wisconsin, New Jersey, Missouri, Oklahoma, Oregon, Indiana and Arizona. In addition, as of December 31, 2014, the company also managed 16 physical therapy practices for third parties, primarily physicians. Sales and Marketing The company focuses its marketing efforts primarily on physicians, including orthopedic surgeons, neurosurgeons, physiatrists, internal medicine physicians, podiatrists, occupational medicine physicians and general practitioners. Strategy The company’s strategy is to acquire single and multi-clinic outpatient physical therapy practices on a national basis and to develop outpatient physical therapy clinics. History U.S. Physical Therapy, Inc. was founded in 1990. The company was re-incorporated in 1992 under the laws of the state of Nevada.
