Tribune Media Company operates as a diversified media and entertainment company. Segments Effective September 28, 2014, the company’s operations would be organized into two segments: Television and Entertainment, and Digital and Data. The company also holds investments in cable and digital assets, including equity investments in Television Food Network, G.P. (TV Food Network), Classified Ventures, LLC (CV) and CareerBuilder, LLC (CareerBuilder). In August 2014, the company completed a separation transaction, resulting in the spin-off of the assets and certain liabilities of the businesses primarily related to the company’s principal publishing operations, other than owned real estate and certain other assets. Television and Entertainment The Television and Entertainment segment consists of the following businesses: Television broadcasting services through Tribune Broadcasting, which owns or operates 42 broadcast television stations located in 33 U.S. markets; digital multi-cast network services through Antenna TV and through the operation and distribution of THIS TV, both of which are digital networks that air in households nationally; national program services through WGN America, a national entertainment network; Tribune Studios, a development and production studio; and radio program services on two Chicago radio stations. Tribune Broadcasting The company’s broadcast television stations serve the local communities in which they operate by providing locally produced news and special interest broadcasts, as well as syndicated programming. Tribune Broadcasting owns or operates 42 local television stations, reaching approximately 50 million households nationally. The company’s television stations, including the 3 stations operated under shared services agreements with Dreamcatcher Broadcasting LLC (Dreamcatcher), consist of 14 FOX television affiliates, 14 CW television affiliates, 5 CBS television affiliates, 3 ABC television affiliates, 2 NBC television affiliates and 4 independent television stations. The company’s television and radio stations are operated pursuant to licenses granted by the Federal Communications Commission. A majority of U.S. households receive its broadcast programming through at least one of its television stations via multichannel video programming distributors multichannel video programming distributors, which include cable television systems, direct broadcast satellite providers and wireline providers who pay the company to offer its programming to their customers. Programming The company sources programming for its 39 Tribune Broadcasting-owned stations from the following sources: news and entertainment programs that are developed and executed by the local television stations; acquired and original syndicated programming; programming received from its affiliates that is retransmitted by its local stations (primarily prime time and sports programming); and paid programming. The company produces approximately 75,000 hours of news annually in its 33 U.S. markets. Acquired syndicated programming, including both television series and movies, are purchased on a group basis for use by its owned stations. For those stations with which the company has a network affiliation, certain programming is acquired from the affiliated network, including FOX, CW, CBS, NBC and ABC. The company’s network affiliated stations are largely dependent upon the performance of network provided programs in order to attract viewers. In addition, its stations air paid-programming whereby third parties pay its local stations for a block of time to air long-form advertising. The programming sources relate to its 39 owned television stations. In compliance with Federal Communications Commission regulations, Dreamcatcher maintains complete responsibility for and control over programming, finances, personnel and operations of the three Dreamcatcher Stations. The company provides technical, promotional, back-office, distribution and limited programming services for the Dreamcatcher Stations.
