The Wendy’s Company, through its subsidiaries, owns and franchises the Wendy’s restaurant system in the United States. The Wendy’s Restaurant System The company primarily engages in the business of operating, developing, and franchising a system of distinctive quick-service restaurants. As of December 28, 2014, there were 6,112 Wendy’s restaurants in operation in North America. Of these restaurants, 957 were operated by the company and 5,155 by a total of 407 franchisees in 50 states, the District of Columbia and Canada. In addition, there were 403 franchised Wendy’s restaurants in operation in 27 countries and territories other than the United States and Canada. The company is also a 50% partner in a Canadian restaurant real estate joint venture with a subsidiary of Restaurant Brands International Inc., a quick-service restaurant company that owns the Tim Hortons brand. The joint venture owns Wendy’s/Tim Hortons combo units in Canada. As of December 28, 2014, there were 103 Wendy’s restaurants in operation that were owned by the joint venture. Wendy’s Restaurants of Canada Inc., a 100% owned subsidiary of the company, holds master franchise rights for Canada. Trademarks and Service Marks The company or its subsidiaries have registered certain trademarks and service marks in the United States Patent and Trademark Office and in international jurisdictions, some of which include Wendy’s, Old Fashioned Hamburgers, and Quality Is Our Recipe. Domestic trademarks and service marks expire at various times from 2015 to 2024, while international trademarks and service marks have various durations of 10 to 15 years. Seasonality The company’s restaurant operations are moderately seasonal. Its average restaurant sales are normally higher during the summer months than during the winter months. Governmental Regulations Various state laws and the Federal Trade Commission regulate the company’s franchising activities. In addition, the company and its franchisees must comply with the federal Fair Labor Standards Act and similar state and local laws; the Americans with Disabilities Act, which requires that all public accommodations and commercial facilities meet federal requirements related to access and use by disabled persons; and various state and local laws governing matters (including the handling, preparation and sale of food and beverages; the provision of nutritional information on menu boards; minimum wages; and overtime and other working and safety conditions). In May 2015, The Wendy's Company announced opening of 90 Degrees Labs near the campus of The Ohio State University in Columbus, Ohio. History The company was founded in 1969. It was formerly known as Wendy’s/Arby’s Group, Inc. and changed its name to The Wendy’s Company in 2011.
