As of January 3, 2016, the Wendy’s restaurant system included 6,479 restaurants, of which 632 were owned and operated by the company. As of January 3, 2016, Wendy’s franchisees operated 5,444 Wendy’s restaurants in 50 states, the District of Columbia and Canada. As of January 3, 2016, Wendy’s had 403 franchised restaurants in 27 countries and territories other than the United States and Canada. The company is also a 50% partner in a Canadian restaurant real estate joint venture with a subsidiary of Restaurant Brands International Inc., a quick-service restaurant company that owns the Tim Hortons brand. The joint venture owns Wendy’s/Tim Hortons combo units in Canada. As of January 3, 2016, there were 99 Wendy’s restaurants in operation that were owned by the joint venture. Wendy’s Restaurants of Canada Inc., a 100% owned subsidiary of the company, holds master franchise rights for Canada. The company or its subsidiaries have registered certain trademarks and service marks in the United States Patent and Trademark Office and in international jurisdictions, some of which include Wendy’s, Old Fashioned Hamburgers, and Quality Is Our Recipe. Domestic trademarks and service marks expire at various times from 2016 to 2025, while international trademarks and service marks have various durations of 10 to 15 years. Seasonality The company’s restaurant operations are moderately seasonal. Its average restaurant sales are normally higher during the summer months than during the winter months. Governmental Regulations Various state laws and the Federal Trade Commission regulate the company’s franchising activities. In addition, the company and its franchisees must comply with the federal Fair Labor Standards Act and similar state and local laws; and the Americans with Disabilities Act. History The company was founded in 1969. It was formerly known as Wendy’s/Arby’s Group, Inc. and changed its name to The Wendy’s Company in 2011.
