Cooper Tire & Rubber Company, together with its subsidiaries, operates as a manufacturer and marketer of replacement tires in North America. Segments The company’s segments include Americas Tire Operations and International Tire Operations. Americas Tire Operations This segment manufactures and markets passenger car and light truck tires, primarily for sale in the United States (U.S.) replacement market. The segment also distributes tires for racing, medium truck and motorcycles. The racing and motorcycle tires are manufactured in the company’s International Tire Operations segment and by others. Major distribution channels and customers include independent tire dealers, wholesale distributors, regional and national retail tire chains, and large retail chains that sell tires, as well as other automotive products. The segment sells various tires to original equipment manufacturers (OEMS). In addition to manufacturing tires in the U.S., this segment has a joint venture manufacturing operation in Mexico, Corporacion de Occidente SA de CV. Competition: The company’s competitors include Bridgestone Corporation, Goodyear Tire & Rubber Company, and Groupe Michelin. International Tire Operations This segment has manufacturing operations in the United Kingdom (U.K.), the Republic of Serbia (Serbia) and the People’s Republic of China (PRC). The U.K. entity manufactures and markets passenger car, light truck, motorcycle and racing tires and tire retread material for the global market. In 2012, this segment acquired certain assets of a light vehicle tire manufacturing facility in Serbia. This entity manufactures light vehicle tires for the European markets. The segment’s Cooper Kunshan entity in the PRC manufactures light vehicle tires. Under an agreement with the government of the PRC, all of the tires produced at this facility through 2012 had been exported. The company has off-take agreement with Prinx Chengshan Tire under which Prinx Chengshan Tire produces Cooper-branded products, including medium truck tires, through mid-2018. A small percentage of the tires manufactured by the segment are sold to OEMs. Competition: The company’s competitors include Bridgestone Corporation, Goodyear Tire & Rubber Company and Groupe Michelin. Research and Development During 2014, the company’s research and development expenditures were $56.8 million. Trademarks The company owns and uses tradenames and trademarks worldwide. The trademarks the company considers most significant to its business are those using the words Cooper, Mastercraft and Avon. History Cooper Tire & Rubber Company was founded in 1913. The company was incorporated in the state of Delaware in 1930.
