Cooper Tire & Rubber Company, together with its subsidiaries, operates as a manufacturer and marketer of replacement tires in North America. The company focuses on the manufacture and sale of passenger and light and medium truck replacement tires. Segments The company is organized into two business segments, North American Tire Operations and International Tire Operations. North American Tire Operations Segment This segment manufactures and markets passenger car and light truck tires, primarily for sale in the United States (U.S.) replacement market. This segment also distributes tires for racing, medium truck, and motorcycles that are manufactured in the company’s International Tire Operations segment. Major distribution channels and customers include independent tire dealers, wholesale distributors, regional and national retail tire chains, and large retail chains that sell tires, as well as other automotive products. This segment does not sell its products directly to end users, except through three company-owned retail stores. This segment sells various tires to original equipment manufacturers (OEMs). In addition to manufacturing tires in the U.S., this segment has a joint venture manufacturing operation in Mexico, Corporacion de Occidente SA de CV. A portion of the products manufactured by this segment are exported worldwide. This segment has built working relationships with independent dealers. This segment’s replacement tire business has a customer base that includes purchasers of proprietary brand tires that are marketed and distributed by the company and private label tires, which are manufactured by the company, and marketed and distributed by the company’s customers. This segment is a major supplier of private label tires in the U.S. Competition The company’s competitors include Bridgestone Corporation, Goodyear Tire & Rubber Company, and Groupe Michelin. International Tire Operations Segment This segment has manufacturing operations in the United Kingdom (U.K.), the Republic of Serbia (Serbia), and the People’s Republic of China (PRC). The U.K. entity manufactures and markets passenger car, light truck, motorcycle and racing tires and tire retread material for the global market. This segment owns certain assets of a light vehicle tire manufacturing facility in Serbia. This entity manufactures light vehicle tires for the European markets. This segment’s Cooper Kunshan entity in the PRC manufactures light vehicle tires. This segment also has a joint venture in the PRC, Cooper Chengshan (Shandong) Tire Company Ltd., which manufactures and markets radial and bias medium truck tires, as well as passenger and light truck tires for the global market. A small percentage of the tires manufactured by this segment are sold to OEMs. Competition The company’s competitors include Bridgestone Corporation, Goodyear Tire & Rubber Company, and Groupe Michelin. Foreign Operations The company has a manufacturing facility, a technical center, a distribution center, and its European headquarters office located in the U.K. There are seven distribution centers and six sales offices in Europe. The company has a manufacturing facility in Serbia. It also has a manufacturing facility and a joint venture manufacturing facility, 21 distribution centers, a technical center, 2 sales offices, and an administrative office in the PRC. The company also has a purchasing office in Singapore. In Mexico, the company has a joint venture manufacturing facility, a sales office, and a distribution center. Research and Development The company’s research and development expenditures were $51.1 million during 2013.
