TravelCenters of America LLC operates and franchises travel center and gasoline station/convenience store locations. The company’s customers include trucking fleets and their drivers, independent truck drivers and motorists. It offers a range of products and services, including diesel fuel and gasoline, truck repair and maintenance services, full service restaurants, approximately 35 different brands of quick service restaurants (QSRs), travel/convenience stores, and various driver amenities. As of December 31, 2014, the company’s business included 250 travel centers located in 43 states in the United States (U.S.) primarily along the U.S. interstate highway system, and the province of Ontario, Canada. The company’s travel centers included 174 operated under the ‘TravelCenters of America’, ‘TA’ or related brand names, or the TA brand, including 158 that the company operated and 16 that franchisees operated, and 76 operated under the ‘Petro Stopping Centers’ and ‘Petro’ brand names, or the Petro brand, including 62 that the company operated and 14 that franchisees operated. Of its 250 travel centers as of December 31, 2014, 37 are owned by the company, 188 are leased or managed by the company, including 183 that it leased from HPT, and 25 are owned or leased from others by franchisees. As of December 31, 2014, the company’s business included 34 gasoline stations/convenience stores with retail gas stations in 4 states, primarily Kentucky, that the company operates and whose primary customers are motorists. It acquired 31 of these stores in 2013 and operates them under the brand name ‘Minit Mart’. Of the company’s 34 gasoline stations/convenience stores as of December 31, 2014, the company owned 27; leased 5, including 1 that the company leased from HPT; and operated 2 for a joint venture in which the company owns a noncontrolling interest. The company’s locations offer a range of products and services designed to appeal to its customers, such as: Fuel: The company sells diesel fuel at separate truck fueling lanes at its travel centers. The company also sells branded and unbranded gasoline at motorist fuel islands at its travel centers and gasoline station/convenience store locations. As of December 31, 2014, the company offered branded gasoline at 260 of its 284 locations and unbranded gasoline at 12 of its locations (7 of which are operated by franchisees of the company). The company did not offer gasoline at 12 of its locations. Diesel Exhaust Fluid: As of December 31, 2014, the company offered DEF from dispensers on the diesel fueling island at all of its travel centers. Full Service Restaurants and QSRs: Majority of the company’s travel centers have both full service restaurants and QSRs that offer customers various nationally recognized branded food choices. The majority of its full service restaurants are operated under its Iron Skillet and Country Pride brands, and offer menu table service and buffets. The company also operates 35 different brands of QSRs, including Arby's, Burger King, Dunkin' Donuts, Godfather's Pizza, Pizza Hut, Popeye's Chicken & Biscuits, Starbuck's Coffee, Subway, and Taco Bell. As of December 31, 2014, 218 of the company’s travel centers included a full service restaurant, 192 of its travel centers and convenience stores offered approximately 1 QSR, and there were a total of 360 QSRs in its 284 locations. Truck Service: Majority of the company’s travel centers have truck repair and maintenance facilities and the company has plans to add truck repair and maintenance facilities to seven travel centers that were purchased in 2013 and 2014. The company’s 235 truck repair and maintenance facilities typically have between 3 and 6 service bays and are staffed by mechanics and service technicians employed by the company or its franchisees. These shops generally operate 24 hours per day, 365 days per year, and offer extensive maintenance and emergency repair and road services, ranging from basic services, such as oil changes, wheel alignments and tire repair to specialty services, such as diagnostics and repair of air conditioning, brakes and electrical systems.
