Synutra International, Inc. operates as an infant formula company in the People’s Republic of China (China or PRC). The company engages in the production, distribution, and sale of dairy based nutritional products under the ‘Shengyuan’ or ‘Synutra’ line of brands in the PRC. The company focuses on selling powdered formula products for infants and adults, and also engages in other nutritional product offerings. The company sells most of its products through an extensive nationwide sales and distribution network covering all provinces and provincial-level municipalities in mainland China. As of March 31, 2015, this network consisted of approximately 740 independent distributors and approximately 310 independent sub-distributors who sell its products in approximately 21,000 retail outlets. Brands Brands for Nutritional Food Nutritional food product brands include several of China’s infant and adult formula brands, which mainly include Super, My Angel and Dutch Cow. The company’s infant powdered formula products include docosahexanoic acid (DHA) and arachidonic acid (ARA), which support brain and immune system development of infants. Complementary Brands The company markets under the Meitek brand to meet the nutritional needs of the broader consumer population in China. The company has launched Chondro Gold and Chodro Cal brands of chondroitin sulfate sodium and chondroitin sulfate calcium materials intended for the dietary ingredients industry in North America and the rest of the world. The company launched the Precious Care (Zhen Yun) brand of skincare cosmetics for pregnant and postpartum women in 2014. The products under the company’s Precious Care brand are manufactured by original equipment manufacturer suppliers using skincare materials with no hormones or other additives, which are intended to minimize the irritation to pregnant and postpartum women. Products The company’s products are grouped by category of production process and usage, as well as internal resource allocation into three segments, including Nutritional Food, Nutritional Supplement, and Other Business. Nutritional Food Nutritional Food includes the sale of powdered infant and adult formula products, with major brands, including Super, My Angel, and Dutch Cow, as well as the sale of prepared foods under the brand of Huiliduo; Infant Formula: The company’s infant formula products include formulas for regular feeding and specialty formula products. Regular Infant Formula: The company designs regular infant formula as a breast milk substitute for healthy, full-term infants without special nutritional needs, both for use as the infant’s sole source of nutrition and as a supplement to breastfeeding. The company’s regular infant formula has the following four main components, such as protein from cow’s milk that is processed to have an amino acid profile similar to human milk, a blend of vegetable fats (including DHA/ARA) to replace bovine milk fat to resemble the composition of human milk, a carbohydrate, generally lactose from cow’s milk, and a vitamin and mineral micronutrient pre-mix that is blended into the product to meet the specific needs of the infant at a given age. Patterned after breast milk, which changes composition to meet the infant’s changing nutritional needs, the company produces stage 1 & 2 infant formulas for babies from new born to twelve months old. Specialty Infant Formula: Special infant formulas are designed for infants with special conditions who cannot consume regular infant formulas. The company markets these products under the Super Formula brand name. Lactose free formulas are designed for infants that are lactose intolerant. Lactose is substituted by maltodextrin in this formula, and it is mainly for infants with diarrhea. Formulas for preterm and low birth weight infants are designed to meet these infants’ needs. Typically, such infants need extra assistance obtaining the requisite nutrition. They require a higher density of nutrients and calories because they cannot take in enough volume of breast milk or regular infant formula. The company has formula for infants both when they
