Consumer Loans: The company offers various consumer loans, primarily home equity lines of credit, and to a lesser extent, loans secured by marketable securities, passbook or certificate accounts, motorcycles, automobiles and recreational vehicles, as well as unsecured loans. Generally, the company offers automobile loans with a maximum loan-to-value ratio of 100% of the purchase price for new vehicles. Investment Activities As of December 31, 2014, the company’s investment securities included U.S. government and agency obligations; government-sponsored enterprises; mortgage-backed securities, such as agency – residential and non-agency – residential; corporate debt securities; collateralized debt obligations; obligations of state and political subdivisions; and tax-exempt securities. Cash Management Services The company offers various deposit accounts designed for the businesses operating in its market area. The company’s business banking deposit products include a commercial checking account and checking accounts primarily designed for small businesses and non-profit organizations. The company also offers remote capture products, sweep accounts, and money market accounts for its business customers in an effort to increase its commercial deposits. Trust Services The company’s trust department provides fiduciary services, investment management and retirement services to individuals, partnerships, corporations and institutions. The company also acts as guardian, conservator, executor, or trustee under various trusts, wills, and other agreements. Regulation and Supervision The company is subject to examination, regulation and periodic reporting under the Bank Holding Company Act of 1956, as amended, as administered by the Federal Reserve Board. The company is also subject to the rules and regulations of the Securities and Exchange Commission under the federal securities laws. The bank, a Connecticut-chartered stock savings bank, is subject to extensive regulation, supervision and examination by the Connecticut Department of Banking and the Federal Reserve Board. The bank is a member of the Federal Home Loan Bank System and its deposit accounts are insured up to applicable limits by the Deposit Insurance Fund managed by the Federal Deposit Insurance Corporation. The Connecticut Banking Commissioner regulates the deposit, lending and investment activities of state-chartered banks, including the bank. The bank received an ‘outstanding’ Community Reinvestment Act rating in its completed examination. The Sarbanes-Oxley Act of 2002 generally prohibits loans by the company to its executive officers and directors.
