Banco Santander, S.A. offers a range of financial products primarily in Spain, the United Kingdom, other European countries, Brazil and other Latin American countries, and the United States. Business Segments The company’s segments include Retail Banking; Global Wholesale Banking; Private Banking, Asset Management and Insurance; and Spain’s Run-Off Real Estate. Retail Banking This segment covers all customer banking businesses (except those of private banking and Corporate Banking, managed through the Global Customer Relationship Model). Global Wholesale Banking This segment reflects the revenues from global corporate banking, investment banking and markets worldwide, including all treasuries managed globally, both trading and distribution to customers, as well as equities business. Global Wholesale Banking has three major areas, such as global transaction banking (which includes cash management, trade finance and basic financing and custody); financing solutions and advisory (which includes the units that originate and distribute corporate loans or structured financing, the teams that originate bonds and securitization, the corporate finance units (mergers and acquisitions, primary equity markets, investment solutions for corporate clients via derivatives), as well as asset and capital structuring); and global markets (which include the sale and distribution of fixed income and equity derivatives, interest rates and inflation, the trading and hedging of exchange rates, short-term money markets for the company’s wholesale and retail clients, management of books associated with distribution, brokerage of equities, and derivatives for investment and hedging solutions). Private Banking, Asset Management, and Insurance This segment engages in the design and management of mutual and pension funds and insurance, conducted in some cases through wholly-owned subsidiaries and in others through subsidiaries in which it participates through joint ventures with specialists. This segment consists of all of its companies whose activity is private banking, management of mutual and pension funds and insurance. Spain’s Run-Off Real Estate This segment includes loans to customers in Spain whose activity is mainly real estate development, equity stakes in real estate companies and foreclosed assets. This segment focuses on managing real estate clients with whom it holds potentially problematic exposures to reduce their exposure; and property and land management, which includes the sale of existing properties and, in certain cases, real estate development and subsequent marketing and sale. This segment also includes the company’s investments in the Spanish Bank Restructuring Asset Management Company. Geographical Segments The company’s geographical segments include Continental Europe, United Kingdom, Latin America, and United States. Continental Europe This segment includes all activities carried out in this region: retail banking, global wholesale banking, private banking, asset management and insurance, as well as Spain’s run-off real estate. During 2014, there were four main units within this area: Spain, Portugal, Poland and Santander Consumer Finance (SCF). Spain: As of December 31, 2014, the company had 3,511 branches. Portugal: The company’s main Portuguese retail and investment banking operations are conducted by Banco Santander Totta, S.A. (Santander Totta). As of December 31, 2014, Portugal had 594 branches. SCF: The company’s consumer financing activities are conducted through its subsidiary SCF and its group of companies. Most of the activity of SCF relates to auto financing, personal loans, credit cards, insurance and customer deposits. These consumer financing activities are mainly focused on Germany, Spain, Italy, Norway, Poland, Finland and Sweden. SCF also conducts business in Portugal, Austria and the Netherlands, among others. As of December 31, 2014, this unit had 579 branches. United Kingdom This segment includes the commercial banking, wholesale banking, asset management and insurance business activities carried on by the various units and branches with a presence
