Exelon Corporation, a utility services holding company, engages in the energy generation and delivery businesses in the United States. The company’s subsidiaries include Exelon Generation Company, LLC (Generation); Commonwealth Edison Company (ComEd); PECO Energy Company (PECO); and Baltimore Gas and Electric Company (BGE). Generation Generation’s integrated business consists of the generation, physical delivery and marketing of power across multiple geographical regions through its customer-facing business, Constellation Energy Group, Inc. (Constellation), which sells electricity and natural gas to both wholesale and retail customers. Generation also sells renewable energy and other energy-related products and services, and engages in natural gas and oil exploration and production activities (Upstream). Generation has six segments consisting of the Mid-Atlantic, Midwest, New England, New York, Electric Reliability Council of Texas (ERCOT) and Other Regions. Mid-Atlantic represents operations in the eastern half of PJM Interconnection, LLC (PJM), which includes New Jersey, Maryland, Virginia, West Virginia, Delaware, the District of Columbia and parts of Pennsylvania and North Carolina. Midwest represents operations in the western half of PJM, which includes portions of Illinois, Pennsylvania, Indiana, Ohio, Michigan, Kentucky and Tennessee, and the United States footprint of Midcontinent Independent System Operator, Inc. (MISO) excluding MISO’s Southern Region, which covers all or most of North Dakota, South Dakota, Nebraska, Minnesota, Iowa, Wisconsin, the remaining parts of Illinois, Indiana, Michigan and Ohio not covered by PJM, and parts of Montana, Missouri and Kentucky. New England represents the operations within ISO New England Inc. covering the states of Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island and Vermont. New York represents the operations within ISO New York, which covers the state of New York in its entirety. ERCOT represents operations within Electric Reliability Council of Texas, covering most of the state of Texas. Nuclear Facilities: Generation has ownership interests in 14 nuclear generating stations in service, consisting of 24 units with an aggregate of 19,460 Megawatt (MW) of capacity. Generation wholly owns all of its nuclear generating stations, except for Quad Cities Generating Station (75% ownership), Peach Bottom Generating Station (50% ownership), and Salem Generating Station (Salem) (42.59% ownership). In addition, Generation owns a 50.01% interest, collectively, in the Constellation Energy Nuclear Group, Inc. (CENG) generating stations. Generation’s nuclear generating stations are all operated by Generation, with the exception of the two units at Salem, which are operated by PSEG Nuclear, LLC. CENG: Generation owns a 50.01% interest in CENG, a joint venture with Electricite de France SA (EDF). CENG owns a total of five nuclear generating facilities on three sites, Calvert Cliffs, R.E. Ginna and Nine Mile Point. CENG’s ownership share in the total capacity of these units is 4,007 MW. Integrys Energy Services, Inc.: In 2014, Generation acquired the competitive retail electric and natural gas business activities of Integrys Energy Group, Inc. through the purchase of all of the stock of its wholly owned subsidiary, Integrys Energy Services, Inc. Fossil and Renewable Facilities (including Hydroelectric): Generation has ownership interests in 13,281 MW of capacity in fossil and renewable generating facilities in service. Power Marketing: Generation’s integrated business operations include the physical delivery and marketing of power obtained through its generation capacity and through long-term, intermediate-term and short-term contracts. Customers: Generation’s customers include distribution utilities, municipalities, cooperatives, financial institutions, and commercial, industrial, governmental, and residential customers in various markets. Regulations: Generation is a public utility under the Federal Power Act and is subject to Federal Energy Regulatory Commission’s (FERC) exclusive ratemaking jurisdiction over wholesale sales
