Redbox This segment includes self-service kiosks where consumers could rent or purchase movies and video games. This segment operates 40,480 Redbox kiosks in 33,060 locations, where consumers could rent or purchase movies and video games. The company’s Redbox kiosks are available in every U.S. state and Puerto Rico, and are installed primarily at major grocery stores, mass retailers, drug stores, restaurants, and convenience stores, including Walgreen Co., Walmart (Wal-Mart Stores, Inc.), The Kroger Company, and 7-Eleven. The company’s consumers could rent a movie or video game from one location and return their rental to any Redbox location. Additionally, the company’s consumers might pre-reserve a movie or video game online or through a smart phone application and pick it up at the selected Redbox location. The company’s content library consists of movies and video games available for rent or purchase. The company obtains its movie and video game content through revenue sharing agreements and license agreements with studios and game publishers, as well as through distributors and other suppliers. Coinstar This segment consists of self-service kiosks where consumers could convert their coins to cash and convert coins and cash to stored value products. This segment owns and operates 20,930 kiosks in 19,660 locations. Consumers feed loose change into coin-counting kiosks, which recognize and value the change and then dispense vouchers redeemable for cash, or in some cases, issue stored value products at the consumer’s election. Included in the company’s kiosk and location totals are a limited number of Coinstar Exchange kiosks that exchange gift cards for a voucher redeemable for cash. The company’s Coinstar kiosks are available across the U.S., where they provide a trouble-free service to retailers, such as The Kroger Company and Walmart; and in Canada, Puerto Rico, Ireland, and the United Kingdom. The company is a multi-national, fully automated network of self-service coin-counting kiosks in the U.S. market. ecoATM This segment owns and operates 2,250 kiosks in 2,020 locations, where consumers could sell certain electronic devices for cash. The company’s ecoATM kiosks are located across the U.S., installed primarily in malls, mass retailers and grocery stores. With the acquisition of Gazelle, Inc. (Gazelle) in 2015, the company acquired www.gazelle.com, a direct-to-consumer online solution for the purchase and sale of certain electronic devices for cash. The company sells these devices to third party resellers, through online marketplaces and through the Gazelle direct-to-consumer storefront. Other Concepts and Investments In addition to the company’s three segments, the company might identify, evaluate, build or acquire, and develop new concepts in the automated retail space. Seasonality The company has experienced seasonality in its revenue from its Redbox segment. December and the summer months have historically been high rental months. April has been a low rental month due, in part, to retail release timing in connection with the Academy Awards and the Easter holiday that historically has provided stronger content and resulted in higher rentals in March. September and October have been low rental months, due, in part, to the beginning of the school year and the introduction of the new fall television season. New video game content releases are concentrated in the fourth quarter (year ended December 2015) due to publisher release schedules and typically drive higher revenue in the fourth quarter. The company’s Coinstar segment generally experiences its highest revenue in the second half of the year due to increased retailer foot traffic and holiday shopping in the fourth quarter, along with an increase in consumers’ desire for disposable income in the summer months. In the company’s ecoATM segment, kiosk transactions generally peak during the summer months, decline in the fourth quarter and remain flat into the following quarter before increasing in early March. Competition The company’s Redbox business faces competition from mail-delivery and online content providers, such as Netflix, Hulu, iTunes, or Amazon; cable, satellite, and telecommunications providers, such as Comcast or DISH Network; traditional movie programmers, such as HBO or Showtime; other retailers, such as Walmart; and video game rental providers, such as GameFly. The company’s Coinstar business faces competition from ScanCoin, Cummins-Allison Corporation, and others. The company’s ecoATM business faces competition from companies in other businesses that also have buyback or leasing programs, such as GameStop, Best Buy, Target, Apple, AT&T, Verizon Ventures IV LLC, T-Mobile, and Sprint. History The company was founded in 1991. It was incorporated in Delaware in 1993. The company was formerly known as Coinstar, Inc. and changed its name to Outerwall Inc. in 2013.
