Medwave, Inc. engages in the development, manufacture and sale of blood pressure measurement and monitoring systems and related technologies. Products Fusion: Fusion is the Company’s new vital signs monitoring platform replacing its product Vasotrac monitor, a blood pressure monitoring technology. Fusion contains the company’s principal blood pressure technology, its sensors, and employs its algorithms to the signs monitoring market. In addition to its blood pressure technology, Fusion offers options to monitor oxygen saturation, temperature and a printer. Vasotrac: The Vasotrac system offers blood pressure monitoring technology that was particularly useful for difficult patients and in difficult to monitor environments. The Vasotrac would be discontinued in 2007 and replaced by Fusion. OEM module: The Company’s OEM solutions address the integrated blood pressure module market. The Company intends to offer joint integrated solutions to patient monitoring, defibrillator and other medical device companies and sign additional supplier agreements. Analogic Corporation has a supplier and license agreement. This agreement allows Analogic to integrate Medwave’s sensor-based technology into their patient monitoring suite of products. Analogic has integrated Medwave’s technology. Agreements The Company has a marketing agreement with Universal Hospital Services (UHS). This agreement has two components: one where UHS would become a rental distributor and the other which gives UHS the ability to sell the Company’s products. UHS has approximately 80 offices within the Unites States. Discontinuance of Primo: The Company has discontinued selling its Primo hand-held blood monitors. Target Customers The Company’s target customers include medical institutions, such as hospitals, outpatient centers, ambulance companies, nursing homes, physician offices and individual customers. Competition In the automated non-invasive blood pressure monitoring systems market, the company’s products compete with Dinamap product, marketed by GE Medical Systems, a division of General Electric Company. History Medwave, Inc. was founded in 1984.
