The company owns, operates, has booking rights for, or has an equity interest in 167 venues, including House of Blues music venues and prestigious locations, such as The Fillmore in San Francisco, the Hollywood Palladium, the Ziggo Dome in Amsterdam, and 3Arena in Ireland. Ticketmaster, the company’s ticketing business, provides ticket sales, ticket resale services, and marketing and distribution worldwide through www.ticketmaster.com and www.livenation.com and its other Websites, various retail outlets, and call centers; and sold approximately 465 million tickets in 2015 through its systems. Ticketmaster serves clients worldwide across multiple event categories, providing ticketing services for major arenas, stadiums, professional sports franchises and leagues, college sports teams, performing arts venues, museums, and theaters. The company’s artist management companies manage musical artists and acts across all music genres. As of December 31, 2015, it had approximately 100 managers providing services to approximately 350 artists. Segments The company operates in segments, including Concerts, Ticketing, Artist Nation, and Sponsorship & Advertising. Concerts This segment principally engages in the global promotion of live music events in the company’s owned or operated venues and in rented third-party venues, the operation and management of music venues, the production of music festivals worldwide and the creation of associated content. The company promoted approximately 25,500 live music events in 2015, including artists, such as U2, Fleetwood Mac, AC/DC, One Direction, Maroon 5 and Luke Bryan; and through festivals, such as Electric Daisy Carnival, Rock Werchter, Austin City Limits, Lollapolooza and Bonnaroo. As a promoter, the company primarily sells tickets and pays artists under one of various formulas, including a fixed guaranteed amount and/or a percentage of ticket sales or event profits. For each event, the company either uses a venue that it owns or operates, or rents a third-party venue. As a venue operator, the company generates revenue primarily from the sale of concessions, parking, premium seating, rental income, venue sponsorships and ticket rebates or service charges earned on tickets sold through its internal ticketing operations or by third parties under ticketing agreements. In the company’s amphitheaters, the sale of concessions is outsourced. As a festival producer, the company books artists, secures festival sites, provides for third-party production services, sells tickets, and advertises events to attract fans. The company also provides or arranges for third-parties to provide operational services as needed, such as concessions, merchandising, and security. The company earns revenue from the sale of tickets and pays artists a fixed guaranteed amount. It also earns revenue from the sale of concessions, camping fees, festival sponsorships and ticket rebates or service charges earned on tickets sold. For each event, the company either uses a festival site that it owns or rents a third-party festival site. Seasonality: While the company’s Concerts segment operates year-round, the company experiences higher revenue during the second and third quarters (Year ended December 31, 2015) due to the seasonal nature of shows at its outdoor amphitheaters and festivals, which primarily occur from May through September. Ticketing This segment is primarily an agency business that sells tickets for events on behalf of its clients and retains a fixed fee or service charge for these services.
