Global Eagle Entertainment Inc. provides connectivity and content solutions to the worldwide airline industry. Segments The company’s business comprises two segments, Connectivity and Content. Connectivity segment The Connectivity segment provides its airline partners and their passengers with Wi-Fi connectivity over Ku-band satellite transmissions. The company operates its Connectivity business through a wholly-owned subsidiary, Row 44, Inc. (Row 44). Row 44 combines specialized network equipment, media applications and premium content services that allow airline passengers to access in-flight Internet, live television, on-demand content, shopping and travel-related information. With its connectivity solution installed on approximately 500 aircraft, the company has fleet of in-flight entertainment and Internet connected aircraft capable of operating over land and sea. Hughes Network Systems, LLC (Hughes), a satellite services company, provides Row 44 satellite coverage across North America. Satellite-Based Wi-Fi Internet Connectivity: The company offers satellite-based Wi-Fi Internet connectivity in the United States and where permitted in other areas outside the United States where the company is provided to provide service. The company’s service allows airline passengers to connect to the Internet through their personal Wi-Fi enabled devices gate-to-gate. The company provides its airline customers flexibility in how they want to provide and price the service to their passengers. In order to implement its connectivity services, the company also provides its airline customers the following: Connectivity Equipment - the company sells and leases equipment that allows its satellite-based services to operate on aircraft. The company’s equipment is shipped and sold as a single kit, with components of the kits separately priced for future ordering. Significant components of its equipment kits include radomes, antennas, modems, and provisional and activation packages. The company offers installation support to its customers’ in-house or designated third party installers. Regulatory Support - the company obtains Supplemental Type Certificates (STCs), which are certificates issued when an applicant has received Federal Aviation Administration (FAA) or similar international regulatory approval to modify an aircraft from its original type certificate approval. Post-Implementation Support - once its equipment is installed and operational, the company provides technical and network support, which includes 24/7 operational assistance and monitoring of the connectivity performance and bandwidth of its satellite-based services on each aircraft. Live Television Programming: In addition to Internet connectivity, the company offers live television programming whereby airline passengers can watch a range of live television channels through their personal Wi-Fi enabled devices. Its live television product includes various programming options, such as news channels, major broadcast networks and specialty cable network channels. The company also offers a selection of video-on-demand content in connection with its live television channels. Online Web-Portal Services: Included in the company’s Wi-Fi Internet services are Web portal services, which include a Web home page and various services for airline passengers to choose from once logged into its Wi-Fi Internet service through their personal Wi-Fi enabled devices. The company’s Web portal service is white-labeled, which allows its airline customers to customize the home page with their own logo and branding. Through its Web-portal services, the company also offers advertising; content for brands to sponsor such as the home page, music, texting, travel and or other related Web pages; in-flight maps, music, destination and travel-related services; and video on demand or ‘VOD.’ Ancillary Connectivity Products and Services: In order to implement its connectivity services, the company also provides its airline customers the following: Connectivity Equipment - the company sells equipment that allows its satellite-based services to operate on aircraft.
