Regulation and Supervision The company is authorized to conduct banking business and to provide financial services as set forth in the German Banking Act (Kreditwesengesetz) and the Capital Requirements Regulation. The company is subject to regulation and supervision by the European Central Bank, the Bundesanstalt für Finanzdienstleistungsaufsicht, and the Deutsche Bundesbank, the German central bank. Additional regulatory and implementing technical standards are also applicable to the company, and are developed by the European Banking Authority and adopted by the European Commission. Certain other requirements applicable to the company, including those with respect to additional capital and organizational requirements, are set forth in the German Banking Act and other German laws. The company and Deutsche Bank Trust Corporation, its wholly owned subsidiary, are bank holding companies under the U.S. Bank Holding Company Act of 1956, as amended, by virtue of, among other things, the company’s ownership of Deutsche Bank Trust Company Americas (DBTCA). DBTCA is a New York state-chartered bank whose deposits are insured by the FDIC (Federal Deposit Insurance Corporation) to the extent permitted by law. DBTCA is subject to regulation, supervision and examination by the Federal Reserve Board and the New York State Department of Financial Services and to relevant FDIC regulation. In addition, DBTCA is subject to regulation by the Consumer Financial Protection Bureau in relation to its retail products and services offered to its customers. Deutsche Bank Trust Company Delaware is a Delaware state-chartered bank, which is subject to regulation, supervision and examination by the FDIC and the Office of the State Bank Commissioner of Delaware. Deutsche Bank’s New York branch is supervised by the Federal Reserve Board and the New York State Department of Financial Services. Deutsche Bank’s federally chartered nondeposit trust companies are subject to regulation, supervision and examination by the Office of the Comptroller of the Currency. The Dodd-Frank Act removed a longstanding prohibition on the payment of interest on demand deposits by the company’s FDIC-insured bank subsidiaries and its New York branch. The company’s New York branch is licensed by the New York Superintendent of Financial Services to conduct a commercial banking business and is required to maintain eligible assets with banks in the state of New York. The Federal Deposit Insurance Corporation Improvement Act of 1991 provides for regulation of depository institutions (such as DBTCA and its direct and indirect parent companies), including requiring federal banking regulators to take ‘prompt corrective action’ with respect to FDIC-insured banks that do not meet minimum capital requirements. The company’s principal U.S. SEC (Securities and Exchange Commission)-registered broker-dealer subsidiary, Deutsche Bank Securities Inc., is a member of the New York Stock Exchange and is regulated by the Financial Industry Regulatory Authority and the individual state securities authorities in the states in which it operates. Deutsche Bank Securities Inc. is also registered with and regulated by the U.S. SEC as an investment adviser, and by the U.S. Commodity Futures Trading Commission and the National Futures Association as a futures commission merchant and commodity pool operator.
