As of December 31, 2015, the company’s principal subsidiaries (collectively referred to as the Banks) included Capital One Bank (USA), National Association (COBNA), which offers credit and debit card products, other lending products and deposit products; and Capital One, National Association (CONA), which offers a spectrum of banking products and financial services to consumers, small businesses and commercial clients. As of December 31, 2015, the company serviced banking customer accounts through the Internet and mobile banking, as well as through ATMs and branch locations primarily across New York, Louisiana, Texas, Maryland, Virginia, New Jersey and the District of Columbia. The company also operates online direct banking institution in the United States (U.S.) by deposits. In addition to bank lending, treasury management and depository services, it offers credit and debit card products, auto loans and mortgage banking in markets across the U.S. The company also offers products outside of the U.S. principally through Capital One (Europe) plc (COEP), an indirect subsidiary of COBNA organized and located in the United Kingdom (U.K.), and through a branch of COBNA in Canada. COEP has authority, among other things, to provide credit card and installment loans. Its branch of COBNA in Canada has the authority to provide credit card loans. Segments The company’s principal operations are organized into three primary segments consisting of Credit Card, Consumer Banking and Commercial Banking. Credit Card segment: This segment consists of the company’s domestic consumer and small business card lending, and the international card lending businesses in Canada and the U.K. Consumer Banking: This segment consists of the company’s branch-based lending and deposit gathering activities for consumers and small businesses, national deposit gathering, national auto lending, and consumer home loan lending and servicing activities. Commercial Banking: This segment consists of the company’s lending, deposit gathering and treasury management services to commercial real estate and commercial and industrial customers. Markets The company markets its credit card products throughout the U.S., Canada and the U.K.; and offers banking and other services in various regions within the U.S. Primary Loan Products The company provides various lending products. Its primary loan products include credit cards, auto, home loans and commercial. Credit cards: The company originates both prime and subprime credit cards through various channels. Its credit cards generally have variable interest rates. The company also maintains a credit card securitization program and selectively sells charged-off credit card loans. Auto: The company originates both prime and subprime auto loans. Customers are acquired through a network of auto dealers and direct marketing. Its auto loans have fixed interest rates and loan terms of 75 months or less. Home loans: The company’s home loan products include conforming and non-conforming fixed rate and adjustable rate mortgage loans, as well as first and second lien home equity loans and lines of credit. Commercial: The company offers a range of commercial lending products, including loans secured by commercial real estate and loans to middle market industrial and service companies. The majority of its commercial loans have variable rates. Investment Securities The company’s investment portfolio consists primarily of the U.S. treasury securities; corporate debt securities guaranteed by the U.S. government agencies; U.S. government-sponsored enterprise or agency and non-agency residential mortgage-backed securities and commercial mortgage-backed securities; other asset-backed securities; and other securities.
