CommunityOne Bancorp operates as the bank holding company for CommunityOne Bank, N.A. that provides a line of consumer, mortgage and business banking services, including loan, deposit, treasury management, online and mobile banking services, as well as wealth management and trust services, to individual and small and middle market businesses through financial centers located throughout central, southern and western North Carolina. The company’s strategy is to improve the company organically by focusing on meeting the financial needs of customers in its market area by providing a suite of quality financial products and services through local and experienced bankers and lenders located in branches and loan production offices in its customers’ local market. The company also offers the convenience of online and mobile banking capabilities. In addition to organic growth, the company’s strategy is to improve through merger and acquisition activity in its markets, should attractive opportunities present themselves. The company defines its market as communities located in North Carolina, as well as adjoining markets in South Carolina and Virginia. Loan Portfolio As of December 31, 2014, the company’s loan portfolio included commercial and agricultural loans; real estate-construction loans; real estate-mortgage loans, such as 1-4 family residential loans and commercial loans; and consumer loans. Investment Portfolio As of December 31, 2014, the company’s investment portfolio included obligations of U.S. government sponsored agencies; residential mortgage-backed securities-GSE; residential mortgage-backed securities-private; commercial mortgage-backed securities-GSE; commercial mortgage-backed securities-private; and corporate notes. Deposits As of December 31, 2014, the company’s deposits included interest-bearing deposits, such as demand deposits, savings deposits, and money market deposits; time deposits; and noninterest-bearing demand deposits. Regulation and Supervision The company is a bank holding company, subject to regulation under the Bank Holding Company Act and the examination and reporting requirements of the Federal Reserve Board. As a national banking association, the deposits of which are insured by the Federal Deposit Insurance Corporation (FDIC), the bank is subject to regulation and examination primarily by the Office of the Comptroller of the Currency. The bank is also regulated by the FDIC and the Federal Reserve Board. In connection with its lending activities, the bank is subject to various federal laws designed to protect borrowers and promote lending to various sectors of the economy and population. These include, among other laws, the Equal Credit Opportunity Act, the Truth in Lending Act, the Home Mortgage Disclosure Act, the Real Estate Settlement Procedures Act, the Fair Credit Reporting Act, the Truth in Savings Act, and the Community Reinvestment Act. Administration of majority of these consumer protection rules are the responsibility of the Consumer Financial Protection Bureau. The company is subject to the requirements of the Bank Secrecy Act, its implementing regulations and other anti-money laundering laws and regulations, including the USA Patriot Act of 2001. The Dodd-Frank Act Wall Street Reform and Consumer Protection Act changed the bank regulatory structure and has affected the lending, deposit, investment, trading and operating activities of financial institutions and their holding companies, including the company. History The company was founded in 1907. It was incorporated in 1984 under the laws of the state of North Carolina. The company was formerly known as FNB United Corp. and changed its name to CommunityOne Bancorp in 2013.
