Town Sports International Holdings, Inc. owns and operates fitness clubs in the Northeast and Mid-Atlantic regions of the United States (U.S.). As of December 31, 2014, the company, through its subsidiaries, operated 158 fitness clubs under its four major regional brand names, such as New York Sports Clubs (NYSC), Boston Sports Clubs (BSC), Philadelphia Sports Clubs (PSC), and Washington Sports Clubs (WSC). These clubs collectively served approximately 484,000 members. As of December 31, 2014, the company owned and operated a total of 107 clubs under the ‘New York Sports Clubs’ brand name within a 120-mile radius of New York City, including 37 locations in Manhattan. The company owned and operated 30 clubs in the Boston region under its ‘Boston Sports Clubs’ brand name; 13 clubs (2 of which are partly-owned) in the Washington, D.C. region under its ‘Washington Sports Clubs’ brand name; and 5 clubs in the Philadelphia region under its ‘Philadelphia Sports Clubs’ brand name. In addition, the company also owned and operated three clubs in Switzerland. The company’s clubs are located for maximum convenience to its members in urban or suburban areas, close to transportation hubs or office or retail centers. The company’s members include an age demographic covering the student market to the active mature market. In 2014, the company began to expand its target market to include members that prefer a lower cost membership, and has introduced a new pricing strategy to majority of the company’s clubs called High Value Low Price (HVLP). The company would offer the Passport Membership at approximately 25 of its clubs. The company offers three principal types of memberships in its clubs, such as ‘Passport’, which offers access to all clubs at all times; ‘Core’, which offers access to a single home club at all times; and ‘Restricted’ memberships, which is a restricted month-to-month membership offering access to a single home club during all operating hours except certain peak hours Monday through Thursday, otherwise a usage fee applies. Segments During 2014, the company began managing and reporting operating results through two segments, Clubs and BFX Studio. The Clubs segment comprised clubs under the NYSC, BSC, PSC and WSC brand names, and the clubs that the company owns in Switzerland. BFX Studio is the company’s private studio brand that was introduced in 2014. Club Format and Locations The company’s clubs are located in middle- or upper-income residential, commercial, urban and suburban neighborhoods within major metropolitan areas that are capable of supporting the development of a cluster of clubs. The company’s fitness-only clubs range in size from 15,000 to 25,000 square feet and average approximately 21,000 square feet. The company’s multi-recreational clubs range in size from 20,000 to 65,000 square feet, with one club being approximately 200,000 square feet. The average multi-recreational club size is approximately 37,000 square feet. The company’s facilities include a mix of cardiovascular and strength equipment from various manufacturers, including Life Fitness, Technogym, Nautilus, Cybex, Precor, Star Trac, Hammer, Woodway, and Octane. Its fee-based programs offered at majority of its clubs, include personal training, Small Group Training, children’s programs, and other signature classes targeting adult members, such as VBarre and Pilates Tower. The company also offers its Xpressline strength workout at all of its clubs, which is provided for free to its members. Xpressline is an eight-station total-body circuit workout designed to be used in 22 minutes and to accommodate all fitness levels. In 2014, the company completed the roll-out of its UXF (Ultimate Fitness Experience) training zone to the majority of its existing club base, with a total of 151 clubs including this zone as of December 31, 2014. The UXF training zone is a training area within the club that features a range of equipment designed to improve the member’s workout. The UXF training zone is approximately 600 to 800 square feet with AstroTurf flooring, a TRX suspension training frame and various functional training equipment,
