C.H. Robinson Worldwide, Inc., a third party logistics company, provides freight transportation services and logistics solutions to companies of all sizes in various industries worldwide. During 2014, the company handled approximately 14.3 million shipments. The company operates through a network of 281 offices in North America, Europe, Asia, and South America. It has developed global transportation and distribution networks to provide transportation and supply chain services worldwide. The company has contractual relationships with approximately 66,000 transportation companies, including motor carriers, railroads (primarily intermodal service providers), and air freight and ocean carriers. As an integral part of its transportation services, the company provides a range of value-added logistics services, such as freight consolidation, supply chain consulting and analysis, optimization, and reporting. In addition to transportation, the company provides sourcing services (Sourcing) through Robinson Fresh. Its Sourcing business is primarily the buying, selling, and marketing of fresh fruits, vegetables, and other perishable items. The company supplies fresh produce through its network of independent produce growers and suppliers. Its customers include grocery retailers and restaurants, produce wholesalers, and foodservice distributors. In majority cases, the company also arranges the logistics and transportation of the products that it sells and provides related supply chain services, such as replenishment, category management, and merchandising. The company has developed proprietary brands of produce and has licensing agreements to distribute fresh produce under consumer brand names. Transportation and Logistics Services The company’s services range from commitments on a specific shipment to various integrated relationships. It provides all of the following transportation and logistics services: Truckload: The company, through its contracts with motor carriers, has access to dry vans, temperature controlled vans, flatbeds, and bulk capacity. The company also offers time-definite and expedited truck transportation. Less Than Truckload (LTL): LTL transportation involves the shipment of single or multiple pallets of freight. The company focuses on shipments of a single pallet or larger, although it handles any size shipment. Through its contracts with motor carriers and its operating system, the company consolidates freight and freight information to provide its customers with a single source of information on their freight. In various instances, the company would consolidate partial shipments for various customers into full truckloads. Intermodal: The company’s intermodal transportation service is the shipment of freight in trailers or containers by a combination of truck and rail. It has intermodal marketing agreements with container owners and all Class 1 railroads in North America, and arranges local pickup and delivery (known as drayage) through local contracted motor carriers. In addition, the company owns approximately 1,000 intermodal containers. Ocean: As a non-vessel ocean common carrier (NVOCC) or freight forwarder, the company consolidates shipments, determines routing, selects ocean carriers, contracts for ocean shipments, and provides for local pickup and delivery of shipments. Air: As a certified indirect air carrier or freight forwarder, the company organizes air shipments and provides door-to-door service. Customs: The company’s customs brokers are licensed and regulated by the U.S. Customs and Border Protection to assist importers and exporters in meeting federal requirements governing imports and exports. Other Logistics Services: The company provides fee-based managed services, warehousing services, small parcel, and other services. For majority of the company’s transportation and logistics services, the company is a service provider. By accepting the customer’s order, the company accepts certain responsibilities for transportation of the shipment from origin to destination. The company purchases the majority of its truckload services from its contract truckload carriers on a spot market or transactional basis, even when the company is working with the customer on a contractual basis. The company offers a range of logistics services on a worldwide basis. The company might serve its customers through specially created teams and through various locations. The company’s transportation services are provided to various international customers through its worldwide network. Customers During 2014, the company served approximately 46,000 active customers worldwide, ranging from Fortune 100 companies to small businesses in various industries. Seasonality In 2014, operating income and earnings have been lower in the first quarter than in the other three quarters (year ending December 2014). Government Regulation The company is subject to licensing and regulation as a property freight broker and is licensed by the U.S. Department of Transportation to arrange for the transportation of property by motor vehicle. The company is also subject to regulation by the Federal Maritime Commission as an ocean freight forwarder and an NVOCC and it maintains separate bonds and licenses for each. The company operates as a Department of Homeland Security certified indirect air carrier, providing air freight services, subject to commercial standards set forth by the International Air Transport Association and federal regulations issued by the Transportation Security Administration. The company provides customs brokerage services as a customs broker under a license issued by the Bureau of U.S. Customs and Border Protection. The company buys and sells fresh produce under licenses issued by the U.S. Department of Agriculture as required by the Perishable Agricultural Commodities Act. The company is subject to various other U.S. and foreign laws and regulations, including but not limited to, the Foreign Corrupt Practices Act and other similar anti-bribery and anti-corruption statutes.
