Aircastle Limited, through its subsidiaries, engages in investing in aviation assets, including acquiring, leasing, managing, and selling high-utility commercial jet aircraft. The company makes investments in other aviation assets, including debt investments secured by commercial jet aircraft. As of December 31, 2014, the company’s aircraft portfolio consisted of 148 aircraft leased to 54 lessees located in 34 countries. Customers For the year ended December 31, 2014, the company’s major customers included Martinair (including its affiliate Transavia); LATAM Airlines Group S.A.; and South African Airways Pty. Ltd., accounted for 6%, 6% and 5%, respectively. Strategy The key elements of the company’s strategy include pursuing a disciplined, value oriented investment strategy; investing in commercial jet aircraft and other aviation assets when attractively priced opportunities and cost effective financing are available; maintaining efficient access to capital from a range of sources while targeting an investment grade credit rating; selling assets when attractive opportunities arise and for portfolio management purposes; and leveraging its efficient operating platform and strong operating track record. Government Regulation The company is subject to U.S. regulations governing the lease and sale of aircraft to foreign entities. Specifically, the U.S. Department of Commerce (through its Bureau of Industry and Security) and the U.S. Department of the Treasury (through its Office of Foreign Assets Control) impose restrictions on the operation of U.S.-made goods, such as aircraft and engines, in sanctioned countries, and also impose restrictions on the ability of U.S. companies to conduct business with entities in certain countries and with certain individuals. The company structures its aircraft lease and sale documentation to require compliance with these restrictions. History Aircastle Limited was founded in 2004. The company was incorporated in 2004 under the provisions of Section 14 of the Companies Act of 1981 of Bermuda.
