Atlas Air Worldwide Holdings, Inc., through its subsidiaries, provides outsourced aircraft and aviation operating services worldwide. The company manages and operates a major fleet of 747 freighters. The company’s customers include airlines, express delivery providers, freight forwarders, the U.S. military and charter brokers. It provides global services with operations in Africa, Asia, Australia, Europe, the Middle East, North America, and South America. The company’s principal operating subsidiary includes Atlas Air, Inc. (Atlas). Segments The company operates through four segments: ACMI, AMC Charter, Commercial Charter, and Dry Leasing. ACMI This segment provides outsourced cargo and passenger aircraft operating solutions, including the provision of an aircraft, crew, maintenance and insurance, while customers assume fuel, demand and yield risk. CMI, which is part of this segment, whereby the company provides outsourced cargo and passenger aircraft operating solutions, including the provision of crew, maintenance and insurance, while customers provide the aircraft and assume fuel, demand and yield risk. In 2013, the company continued to expand its CMI business with the addition of services for two 767-300 cargo aircraft and a VIP configured 767-200 passenger aircraft. AMC Charter This segment provides cargo and full planeload passenger aircraft charter services for the U.S. Military Air Mobility Command (AMC). The company participates in the U.S. Civil Reserve Air Fleet (CRAF) Program under contracts with the AMC, which cover a one-year period. Commercial Charter This segment provides full planeload cargo and passenger aircraft charter services to customers for one or more flights based on a specific origin and destination. In addition, Atlas provides limited airport-to-airport cargo services to select markets, including several cities in South America. Atlas also bears direct sales costs incurred through the company’s own sales force and through commissions paid to general sales agents. This segment’s customers include brokers, cruise-ship operators, freight forwarders, direct shippers, and airlines. Dry Leasing This segment provides specific aircraft or engine leasing solutions without crew, maintenance or insurance to a customer for compensation that is based on a fixed monthly amount. This business is primarily operated by Titan, which is principally a cargo aircraft dry lessor, and also owns and manages aviation assets, such as passenger narrow-body aircraft, engines, and related equipment. Titan also markets its expertise in asset management, passenger-to-freighter conversion, and other aviation-related technical services. Global Supply Systems Limited (GSS) The company also maintains a 49% interest in GSS. GSS, in turn, provides ACMI services for these aircraft to British Airways Plc. DHL Network Operations (USA), Inc. (DHL Investment) and Polar Air Cargo Worldwide, Inc. (Polar) DHL holds a 49% equity interest and a 25% voting interest in Polar. The company owns the remaining 51% equity interest and 75% voting interest. Polar provides full flying for DHL’s trans-Pacific express network, and DHL provides financial support and also assumes the risks and rewards of the operations of Polar. In addition to its trans-Pacific routes, Polar also flies between the Asia Pacific regions, the Middle East, and Europe on behalf of DHL and other customers. Polar operates six 747-400 freighter aircraft and two 747-8F aircraft that are subleased from the company. Atlas operates one additional 747-400 aircraft to support the Polar network and DHL through an alliance agreement whereby Atlas provides ACMI services to Polar. The company also provides incremental charter capacity to Polar on an as-needed basis. The company began CMI flying five 767-200 freighters owned by DHL in their North American network in 2012. During 2013, it expanded its CMI flying in DHL’s intra-Asia network with two new 767-300ERF aircraft owned by them. Sales and Marketing The company has regional sales offices in the United States, England, Hong Kong, and Singapore, which cover the Americas, Europe, Africa, the Middle East, and the Asia Pacific regions. These offices market its ACMI (including CMI) and Dry Leasing services directly to other airlines and logistic companies. They also market the company’s cargo and passenger Commercial Charter services to charter brokers, cruise-ship operators, freight forwarders, direct shippers, and airlines. Additionally, it has a Government and Defense Group that directly manages the company’s military cargo and passenger operations. Governmental Regulation Atlas and Polar are subject to regulation by the U.S. Department of Transportation and U.S. Federal Aviation Administration, and other U.S. and foreign government agencies. The company is also subject to the regulations of the U.S. Environmental Protection Agency regarding air quality in the United States. The company is working with the Department of Homeland Security and other government agencies to ensure that a risk-based management approach is utilized to target specific ‘at-risk’ cargo. Additionally, the company is subject to the U.S. and foreign antitrust requirements and international trade restrictions imposed by the U.S. presidential determination and the U.S. government agency regulation, including the Office of Foreign Assets Control of the U.S. Department of the Treasury. Significant Events In April 2014, Atlas Air Worldwide Holdings Inc. announced the placement of two Boeing 747-8 Freighters into ACMI service for DHL Express.
