Starz, through its wholly owned subsidiary, Starz, LLC, operates as an integrated global media and entertainment company. The company provides premium subscription video programming to multichannel video programming distributors (MVPDs), including cable operators, satellite television providers and telecommunications companies in the United States. The company also develops, produces, and acquires entertainment content and distributes this content to consumers in the U.S. and throughout the world. The company is a wholly-owned subsidiary of Starz. The company’s business operations are conducted by its wholly-owned subsidiaries Starz Entertainment, LLC, Film Roman, LLC and certain other immaterial subsidiaries, and its majority-owned subsidiary Starz Media Group, LLC (Starz Media), which is owned 25% by The Weinstein Company LLC (Weinstein). Segments The company manages its operations through its Starz Networks, Starz Distribution and Starz Animation segments. STARZ NETWORKS Programming Networks: The Starz Networks segment is a provider of premium subscription video programming to U.S. MVPDs, including cable operators (such as Comcast and Time Warner Cable), satellite television providers (such as DIRECTV and Dish Network), and telecommunications companies. As of December 31, 2013, these networks were available for subscription in approximately 100 million U.S. multichannel households, defined as households subscribing to services offered by MVPDs, as well as over the Internet, and together Starz and Encore served approximately 57.1 million subscribers. The company’s third network, MoviePlex, offers various art house, independent films and classic movie library content. Starz and Encore, along with MoviePlex, air approximately 1,000 movies monthly across 17 linear networks complemented by on-demand and Internet services. Demographics: The company’s Starz networks target a balanced composition of men and women in the 25-54 age group who are parents. Its Encore networks are sold in both premium programming packages together with its Starz networks and in less expensive digital programming packages depending on the distributor. The company targets male adults in the 35-50 age group. MoviePlex is sold primarily in less expensive digital programming packages and together with its Encore networks depending on the distributor. Together with its theme channels, IndiePlex and RetroPlex, MoviePlex targets an age range of men and women between 35 and older. Programming: The programming on its networks includes programming that the company licenses from studios and other rights holders and original programming that the company controls, either through outright ownership or through licensing arrangements. Output and Other Content License Agreements: The majority of the content on its programming networks consists of films that have been released theatrically. The company has long-term output licensing agreements with Sony Pictures Entertainment, Inc. (Sony) and The Walt Disney Company (Disney) for all qualifying films released theatrically by these companies’ movie studios. The company also licenses library content comprising older, previously released theatrical films from Hollywood’s major studios. In addition to theatrical films, the company licenses made for television movies, series and other content from studios, production companies or other rights holders. Competition: The company competes with other programming networks, including premium television network providers HBO/Cinemax, Showtime and EPIX, for viewing and subscribership by each distributor’s customer base. STARZ DISTRIBUTION The Starz Distribution segment includes the operations of its Home Video, Digital Media and Worldwide Distribution businesses. Through its majority-owned subsidiary, Anchor Bay Entertainment, LLC (Anchor Bay Entertainment), the company’s Home Video business unit sells or rents DVDs (standard definition and Blu-ray) under the Anchor Bay and Manga brands, in the U.S., Canada, the United Kingdom and Australia and other international territories to the extent the company has rights to such content in interna
