WEC Energy Group, Inc., through its subsidiaries, generates and distributes electric energy. The company operates in two segments, Utility Energy and Non-Utility Energy. It generates electricity from coal, natural gas, oil, hydroelectric, wind, and biomass. The company provides electric utility services to customers in the paper, foundry, food products, and machinery production industries, as well as to the retail chains. It also provides retail gas distribution services in the state of Wisconsin, as well as transports customer-owned gas to paper, food products, and fabricated metal products industries; and generates, distributes, and sells steam. As of December 31, 2014, the company serves approximately 1,133,600 electric customers in Wisconsin and the Upper Peninsula of Michigan; and approximately 1,089,000 gas customers in Wisconsin, as well as 440 steam customers in metropolitan Milwaukee, Wisconsin. In addition, it invests in and develops real estate, including business parks and other commercial real estate projects primarily in southeastern Wisconsin. The company was formerly known as Wisconsin Energy Corporation and changed its name to WEC Energy Group, Inc. in June 2015. WEC Energy Group, Inc. was founded in 1981 and is headquartered in Milwaukee, Wisconsin.

Wisconsin Energy Corp. Announces Board Appointments

On June 29, 2015, effective at the effective time, as approved by resolutions of Wisconsin Energy Corp.'s board of directors and pursuant to the terms of the merger agreement, the number of directors on the board increased from 9 to 12, and William J. Brodsky, Albert J. Budney, and Paul W. Jones, each a former member of the board of directors of the company, became members of the board. The board appointed the newly elected directors to the committees of the board as follows: William J. Brodsky as member of finance committee, Albert J. Budney as member of corporate governance committee and Paul W. Jones as member of audit and oversight committee.

Wisconsin Energy Corporation announced completion of acquisition of Integrys Energy forming the WEC Energy Group. WEC Energy Group announced addition of three former Integrys board members William J. Brodsky, Albert J. Budney Jr. and Paul W. Jones to its board of directors. Brodsky is non-executive chairman of CBOE Holdings Inc. and the Chicago Board Options Exchange (CBOE). Budney is the former president and director of Niagara Mohawk Holdings Inc. and Jones served as chairman and chief executive officer of A. O. Smith Corp. from 2005 to 2013.

Integrys Energy to Pay Special Pro Rata Dividend Ahead of Merger with Wisconsin Energy

Integrys Energy Group (TEG), announced that it will pay a special pro rata dividend of $0.007234 per share per day, which will accrue from May 30, the day immediately following its previous record date, until the last day prior to the effective day of its merger with Wisconsin Energy Corporation (WEC). The special pro rata dividend was declared to ensure that Integrys Energy shareholders continue to receive their dividend until the merger is finalized. The pro rata dividend is the daily equivalent of the current quarterly rate of $0.68 per share. This special payment is contingent upon the completion of the merger prior to the next regularly scheduled dividend record date for the company.
