Ucore Commissions Design and Construction of SuperLig®-One Pilot Plant

Ucore Rare Metals Inc. announced that it has commissioned the construction of a pilot plant based on Molecular Recognition Technology. The purpose of the Plant will be to test the use of MRT for the separation of rare earth elements at bulk scale. Ucore has contracted with IBC Advanced Technologies Inc. of American Fork, Utah for the design and construction of the Plant, targeting completion before the end of 2015. The test unit, with the project name "SuperLig®-One", will be constructed at IBC. Once complete, the test unit will then be relocated to a third party facility for an independent review of pilot scale test procedures.

Ucore Rare Metals Inc. announced the appointment of Dr. Reed M. Izatt and Mr. Steven R. Izatt to the company's Advisory Board. Dr. Reed M. Izatt is one of the founding principals of IBC Advanced Technologies Inc. of American Fork, Utah. He is the author or co-author of over 550 publications, and has broad research experience in macrocyclic and separations chemistry, calorimetry, and thermodynamics of metal-ligand interactions. Steven R. Izatt is President and CEO of IBC. Mr. Izatt serves on the Board of Directors of the International Precious Metals Institute. Mr. Izatt has authored or co-authored over 100 publications and presentations. He is a Registered Member of The Society for Mining, Metallurgy, and Exploration. Prior to IBC, Mr. Izatt worked as a management consultant at PA Consulting Services and Touche Ross & Co as well as a new ventures engineer and project manager at Bethlehem Steel Corporation.

Ucore Secures $4.9 Million Payment for Granting Molecular Recognition Technology Production Royalty

Ucore Rare Metals Inc. announced that the company has entered into an agreement with a high net worth US-based investor through which the Investor will pay USD 4.0 million (approximately CAD 4.9 Million) to Ucore in consideration for a royalty on the sale of products and services related to the processing of rare earth elements and other specialty metals and critical materials utilizing SuperLig® Molecular Recognition Technology. Under the terms of the agreement, the Investor will make a USD 4 Million payment to Ucore, with a USD 1 million down payment on or before May 26, 2015, with the balance payable within 120 days thereafter. In consideration of the foregoing, the Investor will receive a royalty from the production of Ucore's early stage MRT installations. The Royalty will be comprised of two components: (i) a Gross Royalty equal to 5% of gross sales from the company's first MRT installation or installations, payable until the recapture of the Investment; and (ii) a Net Smelter Royalty equal to 2% of the net sales from the company's first Tier I production client. A Tier I production client is considered to be one with an estimated gross revenue volume to Ucore exceeding CAD 50 Million per annum, with net sales figures to be calculated by Ucore on an annual basis during the production term, in accordance with IFRS accounting procedures. The Agreement and the closing of the transaction remain subject to and conditional upon the acceptance and approval of the TSX Venture Exchange.
