Shareholders File Class-Action Lawsuit Against Under Armour, Inc

Shareholders in Under Armour Inc. are bringing a lawsuit against the company ahead of a stock split the company announced earlier this summer. The case, filed in the Circuit Court for Baltimore City on June 18, alleges Under Armour board members breached their fiduciary duties by approving a new class of stock and changes to the company's charter, issues that will be put to a vote at a special meeting of shareholders on Aug. 26. Under Armour announced the 2-for-1 stock split earlier this summer. The split would create a new class of stock and ensure CEO Kevin Plank retains control over the company. The class-action suit seeks to stop actions being taken on the stock split, as well as changes to company's charter. Shareholders are also seeking unspecified monetary damages, costs and attorneys' fees. In addition to Plank and the company itself, shareholders are also suing board members George W. Bodenheimer, Douglas E. Coltharp, Anthony W. Deering, Karen W. Katz, A.B. Krongard, William R. McDermott, Eric T. Olson and Harvery L. Sanders. Three class-action lawsuits were initially filed against the company, and they were consolidated into one case. Plaintiffs include Pedro Ramirez Jr. and Joshua Kohnstamm.

Under Armour, Inc. announced unaudited consolidated financial results for the second quarter and six months ended June 30, 2015. For the quarter, net revenues were $783.577 million against $609.654 million a year ago. Income from operations was $31.901 million against $34.694 million a year ago. Income before income taxes was $27.680 million against $33.714 million a year ago. Net income was $14.766 million or $0.07 per diluted share against $17.690 million or $0.08 per diluted share a year ago. For the six months, net revenues were $1,588.518 million against $1,251.261 million a year ago. Income from operations was $59.568 million against $61.550 million a year ago. Income before income taxes was $51.297 million against $58.850 million a year ago. Net income was $26.494 million or $0.12 per diluted share against $31.228 million or $0.14 per diluted share a year ago. Net cash used in operating activities was $179.913 million against $45.666 million a year ago. Purchases of property and equipment was $165.485 million against $68.901 million a year ago. Purchases of other assets was $2.321 million against $0.260 million a year ago. The company had previously anticipated 2015 net revenues of approximately $3.78 billion, representing growth of 23% over 2014, and 2015 operating income in the range of $400 million to $408 million, representing growth of 13% to 15% over 2014. Based on current visibility, the Company expects 2015 net revenues of approximately $3.84 billion, representing growth of 25% over 2014 and 2015 operating income in the range of $405 million to $408 million, representing growth of 14% to 15% over 2014. The 2015 guidance continues to reflect the net dilutive impact from the Connected Fitness acquisitions, as well as the impact of the strong dollar negatively impacting operating margin within international businesses.
