Trinity Industries, Inc. provides various products and services for the energy, transportation, chemical, and construction sectors in the United States and internationally. Its Rail Group segment offers railcars, including autorack, box, covered hopper, gondola, intermodal, tank, and open hopper cars; and couplers, axles, and other equipment, as well as railcar maintenance services. This segment serves railroads, leasing companies, and industrial shippers of various products. The company’s Railcar Leasing and Management Services Group segment leases tank and freight railcars to industrial shippers and railroads; provides management, maintenance, and administrative services; and manages railcar fleets on behalf of third parties. As of December 31, 2014, this segment had a fleet of 75,930 owned or leased railcars. Its Construction Products Group segment offers highway products, such as guardrail, crash cushions, and other protective barriers; and aggregates, including expanded shale and clay, crushed stone, sand and gravel, asphalt rock, and other products, as well as other steel products for infrastructure-related projects. This segment also provides hot-dip galvanizing services to fabricated steel materials manufacturers; and trench shields and shoring products for the construction industry, as well as construction equipment for the mining industry. The company’s Energy Equipment Group segment manufactures structural wind towers; utility steel structures for electricity transmission and distribution; ambient and cryogenic storage and distribution containers; and tank heads for pressure and non-pressure vessels. Its Inland Barge Group segment provides deck barges, and open or covered hopper barges to transport grain, coal, and aggregates; and tank barges to transport crude oil, chemicals, and petroleum products, as well as fiberglass reinforced lift covers for grain barges. The company was founded in 1933 and is headquartered in Dallas, Texas.

Glancy Binkow & Goldberg LLP announced that it has filed a class action lawsuit in the United States District Court for the Northern District of Texas on behalf of a class of purchasers of the securities of Trinity Industries Inc. between February 19, 2014 and April 23, 2015, inclusive (the class period). Shareholders have until June 29, 2015 to file a motion to be appointed as lead plaintiff in the shareholder lawsuit. Trinity is a diversified industrial company that owns a variety of businesses that provides products and services to the energy, transportation, chemical, and construction sectors. The complaint alleges that throughout the class period, defendants made false and/or misleading statements and/or failed to disclose that: Trinity engaged in cost-cutting alterations to its ET-Plus guardrails; the safety of its units was compromised as a result of the alterations; the crash tests on Trinity’s products may have been flawed; and Trinity faces additional civil and criminal liabilities as a result of the flawed crash tests. As a result of the foregoing, defendants’ statements about Trinity’s business, operations, and prospects, were false and misleading and/or lacked a reasonable basis in that the company’s liabilities were understated, and its financial projections were overstated. After the market closed on April 21, 2015, an article published on Bloomberg stated that the U.S. Justice Department is investigating the Federal Highway Agency’s support of Trinity’s highway guardrail system.

Trinity Industries Inc. Reports Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2015; Revises Earnings Guidance for the Full Year 2015

Trinity Industries Inc. reported unaudited consolidated earnings results for the first quarter ended March 31, 2015. For the quarter, the company record revenues of $1,626.7 million against $1,460.5 million a year ago. Operating profit was $333.1 million against $391.3 million a year ago. Income before income taxes was $284.4 million against $345.5 million a year ago. Net income attributable to the company was $180.2 million or $1.13 per diluted share against $226.4 million or $1.42 per diluted share a year ago. Net cash provided by operating activities was $109.4 million against $205 million a year ago. Earnings before interest expense, income taxes, and depreciation and amortization expense was $399.9 million against $447.1 million a year ago. Capital expenditure- manufacturing and other was $53.5 million against $49.1 million a year ago. For the full year of 2015, the company anticipates earnings per common diluted share of between $4.10 and $4.45 compared to its previous 2015 earnings guidance of $4.00 to $4.40 per share. The company expects the level of quarterly earnings per share during the remainder of 2015 to be relatively consistent.
