TECO Energy, Inc., an electric and gas utility holding company, engages in the regulated electric and gas utility operations. It generates, purchases, transmits, distributes, and sells electric energy to retail customers, as well as to utilities and other resellers of electricity in West Central Florida; and has electric generating plants with a winter peak generating capacity of 4,668 megawatts. The company purchases, distributes, and sells gas to residential, commercial, industrial, and electric power generating customers in Florida; and has a distribution system that includes approximately 11,740 miles of mains and 6,800 miles of service lines. It also distributes natural gas primarily to residential customers in 23 counties of New Mexico; and operates 11,800 miles of pipeline, including approximately 1,600 miles of transmission pipeline and 10,200 miles of distribution lines. As of February 9, 2015, the company served approximately 700,000 electric customers in West Central Florida; 350,000 gas customers in Florida; and 513,000 gas customers in New Mexico. The company was founded in 1899 and is headquartered in Tampa, Florida.

13 Parties Express Interest In TECO Energy

TECO Energy, Inc. (NYSE:TE) received five indicative proposals on July 20, 2015 and thirteen parties expressed interest in sale of TECO. The Board of TECO identified six potential counterparties having greatest likelihood to maximize value to TECO Energy’s shareholders and the Board determined not to invite other parties to participate in sale process in order to minimize the risk of the sale process becoming public and to maintain an orderly process.

TECO Energy Inc. Faces Investor's Suit to Halt its Merger with Emera Inc

A Philadelphia investor in TECO Energy Inc. is asking Florida court to halt the company's merger with Emera Inc. because she thinks the $10.4 billion deal shortchanged shareholders. TECO shareholder Rhoda Kanter said in a lawsuit filed that TECO's directors, who unanimously approved a merger with Emera Inc. on September 4, ‘violated their fiduciary duties’ by giving preferential treatment to the Canadian utility and by not getting the best price. The suit said ‘it is no wonder that the merger has been approved’ by TECO's board ‘as many of them can expect a big payday when the merger is consummated'. The suit against TECO, its directors and Emera said the parties ‘have acted to put their personal interests ahead of the interests of TECO shareholders (They) have failed to take adequate measures to ensure that the interests of TECO's shareholders are properly protected and have embarked on a process that avoids competitive bidding and provides Emera with an unfair advantage by effectively excluding other alternative proposals.’ The suit, filed in Hillsborough County circuit court, seeks class-action status on behalf of all shareholders. The merger has been approved by TECO and Emera's board of directors. But before the deal can be finalized, shareholders must approve it as well as federal regulators. Emera said it expected the sale to be completed by mid-2016. The deal also includes $3.9 billion in debt.
