TRI Pointe Homes, Inc. Initiates Exchange Offers

TRI Pointe Homes, Inc. announced that it has commenced its offers to exchange new registered notes for the outstanding unregistered notes that were issued in June 2014 in a private placement pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. Under the exchange offers, TRI Pointe is offering to exchange: · $450,000,000 aggregate principal amount of newly issued 4.375% Senior Notes due 2019 that have been registered under the Securities Act, and the related guarantees, for a like principal amount of outstanding restricted 4.375% Senior Notes due 2019 and the related guarantees; and $450,000,000 aggregate principal amount of newly issued 5.875% Senior Notes due 2024 that have been registered under the Securities Act, and the related guarantees, for a like principal amount of outstanding restricted 5.875% Senior Notes due 2024 and the related guarantees. The New Notes will be guaranteed by TRI Pointe’s subsidiaries that guarantee the Outstanding Notes. TRI Pointe will not receive any proceeds from the issuance of the New Notes. The Exchange Offers will not affect TRI Pointe’s outstanding debt levels, as New Notes will only be issued upon cancellation of a like principal amount of the corresponding series of Outstanding Notes. The sole purpose of the Exchange Offers is to fulfill TRI Pointe’s obligations under the registration rights agreements with holders of the Outstanding Notes. The Exchange Offers will expire on June 17, 2015, unless extended.

TRI Pointe Homes, Inc. Announces Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2015; Provides Financial Guidance for the Second Quarter of 2015 and Reiterates Earnings Outlook for the Full Year 2015; Expects to Open 16 New Communities

TRI Pointe Homes, Inc. announced unaudited consolidated earnings results for the first quarter ended March 31, 2015. Net income was $15.3 million, or $0.09 per diluted share compared to $7.6 million, or $0.06 per diluted share for the first quarter of 2014. The improvement in net income was primarily driven by a $23.7 million increase in homebuilding gross margin due to higher home sales revenue, offset by an increase in SG&A expense of $12.6 million and an increase in the Company’s provision for income taxes of $3.3 million. Total revenue was $377,258,000 compared to $248,132,000 a year ago. Income from operations was $22,794,000 compared to $11,443,000 a year ago. Income before income taxes was $23,124,000 compared to $12,110,000 a year ago. Net debt was $1,103,451,000 as on March 31, 2015 compared to $991,550,000 as on Dec. 31, 2014. Adjusted EBITDA was $34,333,000 compared to $22,761,000 a year ago. For the second quarter of 2015, the company anticipates delivering approximately 50% of its 1,558 units in backlog as of March 31, 2015. The company anticipates homebuilding gross margin for the second quarter to be flat sequentially from the first quarter of 2015. For the full year 2015, the company expects to increase new home deliveries by 25% over the 2014 combined deliveries and grow communities by 15-20%. In addition, the company expects full year homebuilding gross margins to be approximately 21%. Finally, the company is reiterating its 2015 outlook for earnings per diluted share to a range of $1.15 to $1.30. In addition, the company expects to open 16 new communities as of June 30, 2015.
