Smart Technologies Inc. announced that Kelly Schmitt, Vice President Finance and Chief Financial Officer (CFO), has submitted her resignation in order to accept an executive position with another company. Ms. Schmitt's resignation is effective September 25, 2015. Steve Winkelmann, Treasurer of the company's operating subsidiary, SMART Technologies ULC, will serve as interim CFO effective upon Ms. Schmitt's departure. Mr. Winkelmann has developed an intimate knowledge of SMART's financial affairs during his more than five-year tenure at the company.

Smart Technologies Inc. Reports Unaudited Consolidated Earnings Results for the First Quarter Ended June 30, 2015; Provides Earnings Outlook for Second Quarter of 2015

Smart Technologies Inc. reported unaudited consolidated earnings results for the first quarter ended June 30, 2015. For the period, the company’s revenue was $98.7 million against $137.5 million a year ago. Operating loss was $2.4 million against income of $16.7 million a year ago. Loss before income tax was $5 million against income of $16.8 million a year ago. Net loss was $2.2 million or $0.02 per basic and diluted share against earnings of $12.1 million or $0.10 per basic and diluted share a year ago. Cash used in operating activities was $15.0 million against $9.9 million a year ago. Capital expenditures were $1.3 million against $2.9 million a year ago. Adjusted revenue was $97.7 million against $122.8 million a year ago. Adjusted EBITDA was $1.4 million against $10.3 million a year ago. Adjusted Net Loss was $3.7 million against $0.3 million a year ago. Adjusted EPS (diluted) was $0.03. The year-over-year revenue decline was driven by declining interactive whiteboard sales, partly offset by growing interactive flat-panel sales. Education revenue decline approximately 17% year-over-year. For the second quarter, the company expects revenue of $100 million to $110 million and Adjusted EBITDA between breakeven and $5 million. The company expects gross margins to be in the mid-30s on a percentage of revenue basis, as solution mix transitions from interactive whiteboards to interactive flat panels, SMART kapp and kapp iQ, all of which carry a lower gross margin percentage than predecessor products. The company expects second quarter adjusted EBITDA in the range of breakeven to positive $5 million.

Ministry of Education for Gauteng Chooses SMART to Help Transform Classrooms and Collaborative Learning

SMART Technologies Inc. announced that the Ministry of Education for Gauteng province in South Africa has chosen SMART for an initial installation of 1,800 SMART Board 6065 interactive displays and equivalent licenses for SMART Notebook(R) collaborative learning software. VastraTech, the authorized SMART distributor in South Africa, is leading the implementation, which will initially see Grade 12 classrooms in 375 government schools across Gauteng province transformed into collaborative learning environments that enhance student understanding and boost student achievement. In December 2014, the Gauteng Ministry of Education worked with VastraTech and SMART on a pilot project in which 100 classrooms were equipped with the SMART Board 6065 interactive flat panel and SMART Notebook software. The project was considered by the Ministry to be so successful that it ultimately chose SMART as its main provider of interactive classroom technology. The installation of the 1,800 SMART Board interactive flat panels and Notebook software is the first phase of an initiative to create 80,000 ICT-enabled, "paperless classrooms" in Gauteng province over the next five years. That, in turn is part of a $5.7 billion effort to revamp government schools in Gauteng, which encompasses the cities of Johannesburg and Pretoria. As part of the implementation plan, SMART and VastraTech will provide educators with professional development and training that aligns with the Ministry of Education's objectives to enhance pedagogy in ways that lead to increased learning outcomes. Educators will create, deliver and manage interactive lessons using SMART Notebook, the world's most popular collaborative learning software, which has been downloaded more than 6.5 million times over the past three years and is used by nearly 70 million teachers and students around the world each school day.
