Sika AG, a specialty chemicals company, develops and produces systems and products for bonding, sealing, damping, reinforcing, and protecting in the building sector and motor vehicle industry worldwide. It develops and markets various admixtures and additives for use in concrete, cement, and mortar production; and single-ply and built-up flat roofing systems. The company also provides a range of technologies used for below-ground waterproofing, including flexible membrane systems, liquid applied membranes, waterproofing admixtures for mortars, joint sealants, waterproofing mortars, injection grouts and coatings for use in various markets, such as basements, underground parking garages, tunnels, and various water-retaining structures. In addition, it offers synthetic resin and cementitious systems for industrial and commercial buildings; and elastic sealing and bonding solutions for various job site needs, as well as provides adhesives. Further, the company offers concrete protection and repair solutions; and interior finishing products, such as leveling compounds, tile adhesives, and tile grouts. It serves commercial vehicle, automotive aftermarket, renewable energies, and facade engineering industries. The company was founded in 1910 and is headquartered in Baar, Switzerland.

Schenker-Winkler Holding Sues Sika over Voting Rights Decision

Schenker-Winkler Holding announced that it has filed a lawsuit against the decision by Sika to cut its voting rights to 5%. The lawsuit was filed with the justice of the peace commission in Baar, central Switzerland, but SWH said the filling has only a formal character and called upon Sika to forgo arbitration so that the case could be brought to the cantonal court in Zug.

Sika's Board To Buy Out Founding Family's Stake

Sika AG's (SWX:SIK) Board of Directors plans on buying the stake of the company's founding family Burkard in a bid to prevent Compagnie de Saint-Gobain S.A. (ENXTPA:SGO) from taking over Sika, Sonntagszeitung reported, citing sources in the know. According to the report, the Board is ready to pay the family's Schenker-Winkler Holding AG CHF 2.25 billion for the stake. Sika spokesman Dominik Slappnig confirmed the offer to news agency AWP on April 20, 2015, but did not disclose the offer price, saying only it includes a premium. At the same time, SWH spokesman Andreas Durisch told AWP the family is not aware of an alternative offer and stressed any proposal that does not include Saint-Gobain is unacceptable. However, Sika's management and some shareholders, including Bill & Melinda Gates Foundation and Cascade Investment, L.L.C., have expressed their fierce opposition to the deal with Saint-Gobain and initiated a lengthy battle with the family. According to Sonntagszeitung's report, the family would retain a part of its stake for the time being to profit from any rise in the share price.

Sika To Reportedly Buy Totry's Stake

Sika AG (SWX:SIK)'s Board of Directors wants to buy out the company's major shareholder totry to stop a takeover of the Swiss chemicals business by France's Compagnie de Saint-Gobain S.A. (ENXTPA:SGO), Sonntags Zeitung newspaper reported, citing two unnamed sources.
