QBE Insurance Group Limited announced the appointment of Carolyn Scobie to the role of Group General Counsel and Company Secretary. Ms. Scobie's appointment follows the resignation of Peter Horton. Ms. Scobie will join the company on January 18, 2016 from Goodman Group where she was Group General Counsel with responsibility for a multi-disciplinary legal team working on matters across 16 countries and over 800 entities. With extensive experience working in an ASX-listed multinational, Carolyn has expertise in compliance, regulatory matters, litigation and managing the complexity of multiple jurisdictions.

QBE Insurance Group Limited Prices Private Placement of $300 Million Subordinated Debt Securities

QBE Insurance Group Limited has priced its private placement of $300 million 30 year non-call 10 Tier II subordinated debt securities. The securities will bear 6.1% per annum interest, payable semi-annually in arrear and the interest will be reset on 12 November 2025 and 12 November 2035 to a rate calculated by reference to the then mid-market swap rate plus a margin of 3.993% per annum, payable semiannually in arrears. As part of the offering, QBE has an option to defer payment of interest in certain circumstances (which will not constitute an event of default) and to redeem the securities at face value on the tenth and twentieth anniversaries of the date of issue of the securities and for certain tax and regulatory events. The settlement is schedule to occur on November 12, 2015.

Maurice Blackburn Files Shareholder Class Action against QBE Insurance Group

Maurice Blackburn filed a shareholder class action against QBE Insurance Group seeking $17.8 billion, alleging it had breached its continuous disclosure obligations by failing to inform the market of the losses sooner. The case has been lodged in the Federal Court in Melbourne, with nearly 700 investors adding their name to the class action to claw back some compensation for shares they argue were bought at inflated prices. The self-managed super fund of Richard Bungey, a 69-year-old semi-retired small business owner from Queensland, is the lead plaintiff.
