Potash Corp Reportedly Does Not Plan To Increase K+S Bid

Potash Corporation of Saskatchewan Inc. (TSX:POT) does not plan to sweeten its bid for K+S Aktiengesellschaft (DB:SDF), several people familiar with the Canadian mineral miner said, downplaying a media report that it would consider such a move. The proposed bid of €41 per share already represented an unusually high premium and should not be taken as a starting point for further increases, the sources said. There was no valid reason to speculate on Potash increasing its offer, they said.

Potash Still Interestes In K+S

Potash Corporation of Saskatchewan Inc. (TSX:POT) on July 3, 2015 said that it was still interested in acquiring K+S Aktiengesellschaft (DB:SDF) despite a rejection of its unsolicited takeover bid.

Potash Corporation And K+S Proposed Merger Reportedy Stalled

Potash Corporation of Saskatchewan Inc. (TSX:POT) does not plan any closures at K+S Aktiengesellschaft (DB:SDF) if its bid for the company is successful, people familiar with the matter said. Potash Corporation and K+S have both acknowledged the bid. Potash Corporation intends to retain K+S's German mines operational, would not divest its market-leading salt business, and would continue with the development of a $4-billion legacy mining project in Canada, the people said. Potash Corporation also views K+S's assets as complementary and also sees the stable, strong cash flow of K+S's salt business as attractive, the people said. Potash Corporation submitted a written acquisition proposal to K+S at the end of May, the people added. Potash Corporation has offered to pay around €41 per K+S share, valuing the company at close to €8 billion. Since then, however, K+S has refused to engage in negotiations with Potash Corp., without communicating a reason, the people said. This is despite Potash Corp.'s assurances that any deal would not be based on labor and other cost savings, and that K+S's management would be offered important roles in the combined company, the people added.
