Nortek, Inc. manufactures and sells products for remodeling and replacement, residential and commercial new construction, and personal and enterprise computer markets in the United States, Canada, and Europe. The company’s Air Quality and Home Solutions segment offers kitchen range hoods; exhaust fans, such as bath fans and fan, heater, and light combination units; and air exchangers and heat or energy recovery ventilators, as well as central vacuum systems. Its Security and Control Solutions segment provides security, automation, and access control products, include residential and various commercial intrusion protection systems and components that focuses on wireless technology, such as control panels, keypads and telephone entry systems, radio transmitters, window and door contacts, and lighting control devices, as well as garage and gate operators. The company’s Ergonomic and Productivity Solutions segment offers wall mounts, carts, arms, desk mounts, workstations, and stands that attach to or support various display devices, including notebook computers, computer monitors, and flat panel displays. Its Residential and Commercial HVAC segment provides split-system and packaged air conditioners and heat pumps, furnaces, and air handlers and parts, as well as unit heaters, radiant heaters, and rooftop HVAC products. The company’s Custom and Commercial Air Solutions segment offers custom-designed and engineered HVAC products comprising air handlers, and large rooftop cooling and heating systems for healthcare and educational facilities, commercial offices, manufacturing facilities, clean rooms, data centers, and governmental buildings. Its Audio, Video and Control Solutions segment provides residential audio/video equipment, including architectural speakers, power conditioners, and other products; home control equipment; and professional video signal management solutions. Nortek, Inc. was founded in 1967 and is headquartered in Providence, Rhode Island.

Almon C. Hall, Senior Vice President and Chief Financial Officer Intends to Retire from Nortek, Inc. at the End of 2015

Nortek Inc. announced that senior vice president and chief financial officer Almon C. Hall intends to retire from the company at the end of this year. Hall joined Nortek in 1977 as Corporate Controller. After serving in a number of finance positions of increasing responsibility, he was named vice president, controller and chief financial officer in 2002, and was promoted to senior vice president in 2011.

Nortek Inc. Reports Unaudited Consolidated Earnings Results for the First Quarter Ended March 28, 2015; Provides Sales Guidance for Remainder of 2015

Nortek Inc. reported unaudited consolidated earnings results for the first quarter ended March 28, 2015. For the quarter, the company reported net sales of $572.7 million compared to $547.8 million a year ago. Operating earnings were $7.7 million compared to $12.5 million a year ago. Loss before benefit from income taxes was $19.5 million compared to $11.6 million a year ago. Net loss was $13.9 million or $0.87 per diluted share compared to $8.6 million or $0.55 per diluted share a year ago. Net cash used in operating activities was $55.3 million compared to $52.6 million a year ago. Capital expenditures were $10.1 million compared to $7.9 million a year ago. Adjusted EBITDA was $46 million compared to $43.5 million a year ago. Overall, adjusted operating earnings decreased in the first quarter of 2015 by $2.9 million or 15.8%, which includes $3.5 million of adjusted operating earnings contributed from acquisitions. Overall, organic adjusted operating earnings, excluding FX translation impact, decreased as expected by $6 million due to lower adjusted operating earnings in Custom Air and HVAC segments, primarily as a result of lower volume in both of these segments as well as a change in mix in Custom Air. This decrease in adjusted operating earnings was partially offset by strong organic growth in adjusted operating earnings and margins in the Security, Air Quality and Ergonomics segment. In the first quarter of 2015, the company had negative free cash flow of $65.4 million compared to $60.5 million of negative free cash flow in the first quarter last year. The negative free cash flow was primarily due to increases in net working capital for both periods. Cash flow typically tends to be strong in the second half of each year, mainly because of the seasonality of businesses. The company expects to see improved year-over-year sales for the remainder of 2015 based on strong order input and increased backlog with other customers.
