NCI Building Systems, Inc. manufactures and markets metal products for the nonresidential construction industry in North America. The company’s Metal Coil Coating segment engages in cleaning, treating, and painting various flat rolled metal coil materials in coil form, as well as in slitting and/or embossing the metal, before the metal is fabricated for use by various industrial users. It also cleans, treats, and coats hot-rolled and light gauge metal coils for third parties for various applications, such as construction products, heating and air conditioning systems, water heaters, lighting fixtures, ceiling grids, office furniture, appliances, and other products; and provides toll coating and painted metal package services. This segment serves the manufacturers of metal components and engineered building systems, as well as steel mills, metal service centers, and painted coil distributors. The company’s Metal Components segment manufactures metal components, including metal roof and wall systems, metal partitions, metal trims, doors, and other related accessories for new construction and in repair and retrofit applications for industrial, commercial, institutional, agricultural, and rural uses; manufactures roll-up doors; and sells interior and exterior walk doors for use in the self-storage industry, and metal and other buildings. This segment sells metal components directly to regional manufacturers, contractors, subcontractors, distributors, lumberyards, co-operative buying groups, and other customers. The company’s Engineered Building Systems segment offers engineered structural members and panels; and self-storage building systems for commercial, industrial, agricultural, governmental, and community markets. This segment sells its products to builders, general contractors, developers, and end users through an in-house sales force and private label companies. NCI Building Systems, Inc. was founded in 1984 and is headquartered in Houston, Texas.

NCI Building Systems Inc. announced the pricing of $250 million aggregate principal amount of 8.250% Senior due 2023. The Notes are being in transactions exempt from registration under the Securities Act of 1933, as amended. NCI intends to use the net proceeds from the of the together with existing cash on hand or, at its option, borrowings under its ABL credit facility, to finance the acquisition of all of the general partnership interests of CENTRIA, pursuant to the Interest Purchase Agreement dated as of November 7, 2014, for a purchase price of $245 million, inclusive of repayment of third party of CENTRIA and subject to working capital adjustment, and to pay fees and expenses associated with the acquisition. The Notes and subsidiary guarantees have not been and will not be registered under the Securities Act and may not be offered or in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.

NCI Building Systems, Inc. Announces Launch of Senior Notes Offering

NCI Building Systems Inc. announced its intention to commence a private offering of $250 million principal amount of Senior Notes due 2023 (the’Notes’). There can be no assurance that the proposed offering of Notes will be completed. NCI intends to use the net proceeds from the sale of the Notes together with existing cash on hand or, at its option, borrowings under its ABL credit facility, to finance the acquisition of all of the general partnership interests of CENTRIA, a Pennsylvania general partnership, pursuant to the Interest Purchase Agreement dated as of November 7, 2014, for a purchase price of $245 million, inclusive of repayment of third party debt of CENTRIA and subject to working capital adjustment, and to pay fees and expenses associated with the acquisition. The Notes will be guaranteed by certain subsidiaries of NCI and CENTRIA. The Notes will be unsecured senior indebtedness and will rank equally in right of payment with all of NCI's existing and future senior indebtedness and senior in right of payment to all of its future subordinated obligations. Each of the domestic subsidiaries that guarantees NCI's obligations under the Senior Secured Facilities (each, a ‘Subsidiary Guarantor’), including any borrower under the ABL Facility that guarantees NCI's obligations under the Term Loan Facility, will guarantee payment of the Notes with guarantees that will rank equally in right of payment with all of the existing and future senior indebtedness of each such Subsidiary Guarantor and senior in right of payment to all future subordinated obligations of such Subsidiary Guarantor.
