The company is involved in retail and commercial banking, asset management, investment banking, brokerage, and insurance activities. It also provides financing for SMEs and renewable-energy-sources, and letters of guarantee and documentary credits; syndicated loans, floating rate loans, and corporate bonds; factoring services, revolving credit facilities, closed-term loans, and loans in foreign currency; project finance; import-export services, trade finance solutions, and guarantee programs for international transactions; investment products and services comprising ascending time deposits, mutual funds, SICAVs, and stock trading services; and child and pension, health, and property insurance products. In addition, the company provides debit and credit cards; payments through standing orders; safe deposit boxes; bank cheques and orders in euro issuance; remittances; foreign currency services; private and premium banking services; corporate cash management services; and payments and liquidity management solutions, as well as operates in real estate management, hotel, and warehousing businesses. The company operates in Greece, Turkey, the United Kingdom, Bulgaria, Romania, Albania, Serbia, FYROM, Cyprus, Malta, Egypt, and South Africa. It operates 529 branches and 1,409 ATMs. The company was founded in 1841 and is headquartered in Athens, Greece.

Agenda: To consider the submission for approval of the board of directors report on the annual financial statements of the bank and the group for the financial year 2014; to consider the discharge of the members of the board of directors and the auditors of the bank, of ETHNIKI KEFALAIOU S.A., and ETHNODATA S.A. from any liability for indemnity regarding the annual financial statements and management for the year 2014; to consider the election of regular and substitute certified auditors for the audit of the financial statements of the bank and the financial statements of the group for the year 2015; to consider the election of a new board of directors and appointment of independent non-executive members pursuant to the provisions of Law; to consider the approval of the remuneration of the board of directors of the bank and of ETHNIKI KEFALAIOU S.A. for the financial year 2014; and to consider the amendment of Article 24.2 and 24.3 of the Bank's articles of association.

National Bank of Greece S.A. Announces Management Changes

The Board of Directors of National Bank of Greece S.A. during its meeting held 28 May 2015, decided to proceed with several changes in Executives' positions, with the purpose of creating a more flexible and efficient management structure. Mr. Dimitrios Kapotopoulos is promoted to the position of General Manager of Corporate Banking, from the position of Assistant General Manager of Corporate Special Assets, which he up to now held. New duties are assigned to Messrs. Alexander Benos - Group Chief Risk Officer, Constantinos Vossikas - Assistant General Manager of Corporate Special Assets and Panagiotis Dasmanoglou - Group Chief Compliance and Corporate Governance Officer. Assistant General Managers are appointed as follows: Mr. Ioannis Vagionitis - Group Chief Credit Officer, Mr. George Triantafyllakis - Assistant General Manager of Legal Services, Mr. Vassilis Kavalos - Assistant General Manager of Treasury and Global Markets, Mr. Vassilis Mastrokalos - Assistant General Manager of Strategy, Mr. Vassilis Skiadiotis - Assistant General Manager of Retail Banking. Mr. Petros Fourtounis, who up to date held the position of General Manager of Corporate Special Assets, takes over the position of General Manager of Group Human Resources. Mr. Anthony Antonopoulos, who up to date held the position of Assistant General Manager of Group Human Resources, takes over the position of Assistant General Manager of Security. At the meeting of the Board of Directors announced the resignation of Mrs. Paula Hadjisotiriou, who held the position of Deputy Chief Executive Officer and was an executive member of the Board of Directors.
