Navistar International Corporation manufactures and sells commercial and military trucks, diesel engines, and school and commercial buses; and provides service parts for trucks and diesel engines worldwide. It operates through four segments: North America Truck, North America Parts, Global Operations, and Financial Services. The company manufactures and distributes Class 4 through 8 trucks and buses in the common carrier, private carrier, government, leasing, construction, energy/petroleum, military vehicle, and student and commercial transportation markets under the International and IC brands; and designs, engineers, and produces sheet metal components, including truck cabs. It also provides customers with proprietary products needed to support the International commercial and military truck, IC bus, and MaxxForce engine lines, as well as other product lines; and a selection of other standard truck, trailer, and engine aftermarket parts. In addition, the company designs and manufactures diesel engines across the 50 through 550 horsepower range under the MaxxForce and MWM brand names; produces mid-range diesel engines primarily under contract manufacturing arrangements for sale to original equipment manufacturers; and manufactures diesel engines for the pickup truck, van, and sport-utility vehicle markets. Further, it provides retail, wholesale, and lease financing of its trucks and parts, as well as financing for wholesale accounts and retail accounts receivable. The company markets its commercial products through an independent dealer network, as well as through distribution and service network retail outlets; and its reconditioned used trucks to owner-operators and fleet buyers through its network of used truck dealers. As of October 31, 2014, it had approximately 758 outlets in the United States and Canada, and 87 outlets in Mexico. The company was founded in 1902 and is headquartered in Lisle, Illinois.

Navistar International Wins Multi-Year Supply Contract for 1,050 Trucks

Navistar International announced that it has won a multi-year contract to supply 1,050 of its new class 8 on-highway tractors to a provider of fleet and owner-operator leasing services. The orders would consists primarily of the company's International, ProStar and LoneStar vehicles, with deliveries spread across the next three years. Financial terms of the deal were not disclosed. In addition, the customer also indicated its intent to order an additional 7,950 trucks later this month for delivery through the end of 2017.

Navistar International Corporation Announces Court Dismisses Complaint in the 10b-5 Cases

On July 10, 2015, the Court issued its Opinion and Order on Motion to Dismiss the Defendants’ Second Amended Complaint in the 10b-5 Cases. The Motion to Dismiss was granted in part and denied in part. Specifically, the Court dismissed all of plaintiff’s claims against Navistar International Corporation, Andrew J. Cederoth and Jack Allen and dismissed all of plaintiffs’ claims against Daniel C. Ustian, the only remaining defendant, except for claims regarding two of Mr. Ustian’s statements. Further, all of the dismissed claims were dismissed with prejudice except for claims based on statements made subsequent to the lead plaintiff’s last purchase of the Company’s stock (the 'Post-Purchase Claims'). The Court determined the lead plaintiff lacked standing to assert the Post-Purchase Claims and dismissed those claims without prejudice.

U.S. Environmental Protection Agency Files a Lawsuit against Navistar International Corporation and Navistar, Inc

On July 14, 2015, the U.S. Department of Justice on behalf of the U.S. Environmental Protection Agency filed a lawsuit against Navistar International Corporation and Navistar, Inc. in the U.S. District Court for the Northern District of Illinois alleging that during 2010 the Company introduced into commerce approximately 7,750 heavy-duty diesel engines that did not meet the EPA’s emissions standards applicable to 2010 engines, resulting in violations of the federal Clean Air Act. The lawsuit requests injunctive relief and the assessment of civil penalties of up to $37,500 per day for each violation.
