Materion Corporation, through its subsidiaries, produces and sells engineered materials for use in electrical, electronic, thermal, and structural applications primarily in the United States, Europe, and Asia. The company operates in four segments: Advanced Material Technologies, Performance Alloys, Beryllium and Composites, and Technical Materials. The Advanced Material Technologies segment offers precious, non-precious, and specialty metal products, including vapor deposition targets, frame lid assemblies, clad and precious metal preforms, high temperature braze materials, ultra-fine wire, advanced chemicals, optics, performance coatings, and microelectronic packages used in wireless, semiconductor, photonic, hybrid, and other microelectronic applications in the consumer electronics and telecommunications infrastructure markets, as well as in medical, defense and science, energy, industrial components, and automotive electronics. The Performance Alloys segment provides strip products, such as thin gauge precision strip and thin diameter rod and wire; bulk products, including copper and nickel-based alloys manufactured in plate, rod, bar, tube, and other customized forms; and beryllium hydroxide used for strip and bulk products. The Beryllium and Composites segment offers beryllium-based metals, and beryllium and aluminum metal matrix composites in rod, sheet, foil, and customized forms; and beryllia alumina ceramic products. The Technical Materials segment provides clad inlay and overlay metals, precious and base metal electroplated systems, electron beam welded systems, contour profiled systems, and solder-coated metal systems. The company distributes its products through a combination of company-owned facilities, and independent distributors and agents. The company was formerly known as Brush Engineered Materials Inc. and changed its name to Materion Corporation in 2011. Materion Corporation was founded in 1931 and is headquartered in Mayfield Heights, Ohio.

Materion Corporation Announces Unaudited Consolidated Earnings Results for the Fourth Quarter and Full Year Ended December 31, 2014; Provides Earnings Guidance for the First Quarter and Year of 2015

Materion Corporation announced unaudited consolidated earnings results for the fourth quarter and full year ended December 31, 2014. Net sales for the fourth quarter were $288.4 million, compared to net sales of $286.1 million for the fourth quarter of 2013. Operating profit for the fourth quarter of 2014 totaled $13.9 million against $5.4 million reported last year. Net income for the fourth quarter of 2014 was $12.0 million, or $0.58 per share, diluted. This compares to net income of $3.8 million, or $0.18 per share, diluted, for the fourth quarter of the prior year. Income before income taxes was $13.3 million against $4.7 million reported last year. Adjusted operating profit was $13.9 million against $10.4 million reported last year. Adjusted net income was $10.2 million or $0.5 per diluted share against $7.1 million or $0.34 per diluted share reported last year. Net sales for the full-year 2014 were $1.1 billion compared to net sales of $1.2 billion for 2013. Operating profit was $57 million against $26.8 million reported last year. Income before income taxes was $54.2 million against $23.8 million reported last year. Net income for the full year was $41.7 million or $2.00 per share, diluted, compared to net income of $19.7 million or $0.94 per share, diluted, for 2013. Net cash provided from operating activities was $60.3 million against $75.9 million reported last year. Payments for purchase of property, plant and equipment were $29.3 million against $27.8 million reported last year. Adjusted operating profit for 2014 of $48.5 million was up 53% compared to adjusted operating profit of $31.8 million for 2013. Adjusted net income for the full year was $34.3 million, or $1.65 per share, 50% ahead of 2013 adjusted earnings of $23.1 million or $1.10 per share. For the full-year 2015, earnings are expected to be in the range of $1.80 to $2.00 per share, diluted, 10-20% above 2014 adjusted earnings of $1.65 per share, diluted. The company expects effective tax guidance of 27%. Capital spending is expected approximately $30 million to $35 million excluding mine development expenditures. Mine development investments are expected $20 million to $25 million as the company is opening 2 separate pits in 2015 to support the anticipated future demand for beryllium hydroxide. Annual depreciation and amortization are expected approximately $40 million in 2015. First quarter of 2015 earnings are forecasted to be over 15% above prior year first quarter adjusted earnings of $0.29 per share. That first quarter of 2015 will most likely be the softer of the 4 quarters of 2015 given the lack of any large one-off beryllium shipments in the quarter and normal seasonality.

Materion Corporation Announces Organizational Realignment and Change in External Reporting Segments; Announces Management Changes

Materion Corporation announced that it has realigned the way the business is organized. The company will be organized into three business groups: Performance Alloys and Composites group, which contains the metals businesses including the company’s beryllium businesses and Technical Materials; Advanced Materials group, which contains the company’s businesses that produce high purity materials primarily used in physical vapor deposition applications; and Precision Coatings group, which contains the company’s businesses that provide both optical coatings and large area coating products. Based on the changes in the way the company is being managed, Materion will externally report three segments: Performance Alloys and Composites, Advanced Materials and Other. A description of the five operating units follows: Performance Metals: produces strip and bulk form alloy products, beryllium-based metals, beryllium and aluminum metal matrix composites, beryllia ceramics and bulk metallic glass materials at manufacturing facilities in the United States. The segment has service and distribution centers in the United States, Europe, and Asia. The segment also operates the bertrandite ore mine and refinery in Utah, providing feedstock hydroxide for the company’s beryllium business and for external sale. Glenn Maxwell is the President of this business. Technical Materials: produces strip metal products with clad inlay and overlay metals, including precious and base metals electro-plated systems. Under the leadership of Al Lubrano, President, the business has its manufacturing facility in Lincoln, Rhode Island and shares service and distribution centers with Performance Metals in Europe and Asia. Advanced Materials: produces advanced chemicals, microelectronic packaging, precious and non-precious metals, and provides deposition reclamation and refining services. Based in Mayfield Heights, Ohio and under the leadership of Don Klimkowicz, President, Advanced Materials has manufacturing facilities in the United States, Europe and Asia. Precision Optics: produces precision sputter-coated thin films and optical filter materials. Based in Westford, Massachusetts, the group has manufacturing facilities in the United States and China.
