Ninth Arbitration Court of Appeal Overturns the Moscow Arbitration Court's Ruling on the Illegality of a License Transfer for the Trebs-Titov Field from Bashneft to Bashneft-Polyus, a Bashneft and Lukoil Joint Venture

Ninth Arbitration Court of Appeal has overturned the Moscow Arbitration Court's ruling on the illegality of a license transfer for the Trebs-Titov field from Bashneft to Bashneft-Polyus, a Bashneft and Lukoil joint venture. The appeal was filed by Bashneft, Lukoil, Bashneft-Polyus and the Russian Federal Subsurface Resources Agency (Rosnedra), who challenged the Moscow court's decision. Valery Islamov had also filed an appeal. Islamov was not represented at the hearing. During the hearing, a representative for the plaintiff, Bashneft minority shareholder Railya Inozemtseva, moved several times for postponement of the case. The motions, which were rejected by the court, were interpreted by Bashneft, Lukoil, Bashneft-Polyus and Rosnedra as attempts to derail the appeal. Inozemtseva's representative also filed a motion to remove the judges from the case, which was also rejected. During the hearing, the Bashneft representative argued that the plaintiff "did not prove its rights and interests were violated in the process of transferring the Trebs-Titov license." In addition, the license was transferred in full accordance with the law. Moreover, the Bashneft representative argued, the lower court that invalidated the license transfer had committed a number of procedural errors. Bashneft-Polyus, Lukoil and Rosnedra supported Bashneft's position. The Bashneft-Polyus representative noted that the lower court ruling would force the shutdown of production at Trebs-Titov given the climatic conditions in the Far North, which could in turn jeopardize infrastructure at the fields and result in job losses and a halt to tax payments from the strategic project. The Lukoil representative said that joint development by Bashneft and Lukoil facilitated the timely commissioning of the fields. The lawsuit "is unusual in that a minority shareholder is disputing the decision of state bodies," Rosnedra argued. "There were no violations of the tender conditions for Trebs-Titov, nor were there any in the process of transferring the license or in the document supplementing the license. Bashneft-Polyus meets all the requirements for a license-holding company.

Lukoil to Invest RUB 65 Billion in 2015

Lukoil has invested RUB 47 billion in projects on the Caspian in 2014. The company said that in 2015 planning to invest no less that RUB 65 billion. The company also said that with the launch of all capacities installed at Filanovsky field at the design capacity, the annual production will be 6 million tonnes.

LUKOIL Does Not Consider Overseas Acquisitions

Open Joint Stock Company Oil company LUKOIL (MICEX:LKOH) is not considering overseas acquisitions. "I think this is not the time, especially for acquisitions, especially not for Russian companies, because we don't have sufficient awareness of the problem we might be up against when selling our existing portfolios of assets. Access to financial resources is essential for acquisitions, especially large ones," Vagit Alekperov, LUKOIL's Chief, said. "So we're not considering any major acquisitions for ourselves in 2015. Bidding at tenders, acquiring new assets in the form of fields or joining new projects - all this we will continue, but the acquisition of companies - no," he said.
