K12 Inc., a technology-based education company, offers proprietary curriculum, software systems, and educational services to facilitate individualized learning for students primarily in kindergarten through 12th grade. It manages virtual and blended public schools. The company also offers curriculum and technology solutions; full-time virtual and blended programs, semester courses, and supplemental solutions; teacher training, teaching, and other support services to public schools, school districts, private schools, charter schools, and early childhood learning centers. In addition, it provides access to the online school and curriculum through proprietary learning management system ‘OLS’; learning kits; access to student computers; and management, technology, and educational services. Further, it operates online private schools, including The K12 International Academy, the George Washington University Online High School, and the Keystone School. The company sells individual online courses directly to families; and sells curriculum directly to customers who desire to educate their children outside of the traditional public school system or to supplement their child's existing public school education without the aid of an online teacher. It serves customers in the United States and internationally. K12 Inc. was founded in 2000 and is headquartered in Herndon, Virginia.

K12, Inc. reported unaudited consolidated earnings results for the third quarter and nine months ended March 31, 2015. For the quarter, revenue was $244.6 million, up 4% year-over-year. Operating income was $27.4 million, which was flat compared to prior year. Excluding the businesses it sold last year, operating income rose 1.9%. Both revenue and operating income came in ahead of guidance it provided last quarter. CapEx, which includes curriculum and software development, computers and infrastructure, was $19.4 million for the quarter versus $14.3 million a year ago. Income from operations was $27.43 million against $27.385 million a year ago. Net income attributable to common stockholders, including Series A stockholders was $17.013 million or $0.45 diluted per share against $15.949 million or $0.40 diluted per share a year ago. Income before income tax expense and non-controlling interest was $27.115 million against $27.373 million a year ago. EBITDA was $45.194 million against $45.402 million a year ago. For nine months, the company reported revenues were $712.64 million against $687.507 million a year ago. Income from operations were $34.746 million against $10.015 million a year ago. Net income attributable to common stockholders, including Series A stockholders was $22.568 million or $0.60 diluted per share against $7.244 million or $0.19 diluted per share a year ago. Income before income tax expense and non-controlling interest was $34.612 million against $9.89 million a year ago. Net cash provided by operating activities was $46.463 million against $81.506 million a year ago. Purchase of property and equipment was $7.656 million against $6.323 million a year ago. EBITDA was $87.019 million against $79.506 million a year ago. Capital expenditures for the nine months ended March 31, 2015 were $45.3 million, an increase of $9.2 million from the prior year's first nine months, and was comprised of $7.7 million for property and equipment, $25.4 million for capitalized software development, and $12.2 million for capitalized curriculum. For the fourth quarter of 2015, the company expects revenue of $225 million to $235 million, operating income of between $4 million and $7 million, and capital expenditures of $18 million to $21 million. For full year of fiscal 2015, the company is forecasting revenues of $938 million to $948 million, which is at the upper end of its previous guidance, operating income of $39 million to $42 million, which is above the previous guidance, and CapEx of $75 million to $78 million, which is at the lower end of its previous guidance. Tax rate guidance for the full year remains in the range of 38% to 40%.
