Impac Mortgage Holdings, Inc. operates as an independent residential mortgage lender. It operates through three segments: Mortgage Lending, Real Estate Services, and Long-Term Mortgage Portfolio. The Mortgage Lending segment primarily originates, sells, and services residential mortgage loans eligible for sale to the government-sponsored enterprises or government-insured loans eligible for Ginnie Mae securities from retail, wholesale, and correspondent channels. The Real Estate Services segment provides loss mitigation and real estate services primarily on its long-term mortgage portfolio, including default surveillance, loan modification, short sale, real estate owned, and reconciling and reporting services, as well as surveillance and disposition services and monitoring for residential and multifamily mortgage portfolios. The Long-Term Mortgage Portfolio segment manages the long-term mortgage portfolio, which consists of residual interests in the securitization trusts reflected as trust assets and liabilities in the consolidated balance sheets to mitigate losses and maximize cash flows from residual interests. The company was founded in 1995 and is headquartered in Irvine, California.

Impac Mortgage Holdings Inc. announced financial results for the fourth quarter and full year ended December 31, 2014. For the quarter, the company reported a net loss attributable to common stockholders of $2.2 million or $0.23 per diluted common share as compared to a net loss attributable to common stockholders of $3.7 million or $0.42 per diluted common share for the quarter ended December 31, 2013. Total revenues were $11,764,000 against $17,699,000 a year ago. Loss from continuing operations before income taxes was $1,664,000 against $2,696,000 a year ago. Net loss from continuing operations was $1,564,000 against $2,730,000 a year ago. For the year, the company reported a net loss attributable to common stockholders of $6.3 million or $0.68 per diluted common share as compared to a net loss of $8.2 million or $0.94 per diluted common share for the year ended 2013. The loss in 2014 was primarily associated with a MTM loss from mortgage servicing rights (MSRs), due primarily to lower interest rates, which caused the estimated fair value of MSRs to decrease, an increase in the estimated fair value of long-term debt recorded in the fourth quarter of 2014, as a result of its improving financial conditions, and a loss from discontinued operations. Total revenues were $45,189,000 against $88,369,000 a year ago. Loss from continuing operations before income taxes was $2,662,000 against $6,042,000 a year ago. Net loss from continuing operations was $3,967,000 against $5,011,000 a year ago. With the increased origination volume, the company anticipates first quarter of 2015 pre-tax profitability to improve significantly over the fourth quarter of 2014. Additionally, in the first quarter, the company expects to realize tax benefits from its substantial NOL carry-forwards, which could result in first quarter earnings potentially making up for the entire loss in 2014.

Impac In Talks To Acquire Mortgage Origination Business

Impac Mortgage Holdings Inc. (AMEX:IMH) is currently in negotiations to acquire the mortgage origination business of a leading mortgage originator, which the Company believes will complement its current origination business model and position the Company to continue the roll out its new ALT QM loan programs to consumers directly. While negotiations are continuing to proceed, the Company has not yet entered into any definitive agreements related thereto. Although the Company intends to pursue the acquisition, the Company can make no assurances that the acquireree will continue to negotiate until favorable terms can be reached, nor is there any assurance that such an agreement can or will ever be achieved. Furthermore, assuming the parties enter into a definitive agreement, the consummation of such acquisition will be subject to certain conditions, including regulatory approvals, transfer of licensing, and approval of each company's Board of Directors.
